Transformation Services. If Ricoh is engaged to provide Transformation Services, then a Ricoh [Service Delivery Manager] will work with Customer in good faith to develop a “Continuous Improvement Action Plan” which shall be intended to work towards a reduction in Customer’s total cost of ownership of Covered Equipment, improved productivity of the Covered Equipment and/or increased efficiency in Customer’s document based business processes. The Continuous Improvement Action Plan may include print policy guidance and monitoring, device rationalization, change management monitoring and execution, and business process optimization recommendations. The Continuous Improvement Action Plan will be reviewed on a [monthly/quarterly] basis and provided as part of Ricoh’s regular reports to Customer. Both parties acknowledge and agree that the realization of any cost savings is subject to numerous conditions and assumptions that may be beyond the reasonable control of the parties as well as Customer’s willingness to implement such proposed cost savings opportunities. Accordingly, neither party makes any representations or warranties relating to the amount, nature or timing of any savings or objectives that may be achieved.
Transformation Services. Service Provider shall perform the Transformation Services, including provision of the deliverables described and provided for in the Transformation Plan. DIR shall perform those tasks that are designated to be DIR's responsibility in the Transformation Plan, but shall not be obligated to perform tasks or provide any resource beyond those set forth in such Transformation Plan. If DIR fails to perform such tasks or provide such resources, DIR will reimburse Service Provider's additional costs reasonably incurred as a direct result of such failure, provided that Service Provider notifies DIR of such failure and provides DIR with a reasonable opportunity to cure, obtains DIR's approval prior to incurring such costs and in all events uses commercially reasonable efforts to minimize such costs. Unless otherwise agreed in writing, DIR shall not incur any charges, fees or expenses payable to Service Provider in connection with the Transformation Services, other than those charges, fees and expenses specified in Exhibit 4.
Transformation Services services, functions and responsibilities identified in Work Orders adopted by the Parties for Projects undertaken under this Agreement;
Transformation Services. This Section 4.3 shall only apply if a Supplement specifically refers to Transformation Services in its Services description.
Transformation Services. (A) Beginning on the Effective Date, Service Provider will perform all functions and services (except those responsibilities designated as Xxxx responsibilities in Schedule 3 (Transformation)) (the "Transformation Services") necessary to accomplish the migration of Dana's human resource management and administration operations and capabilities from Xxxx to Service Provider, and thereafter to undertake the transformation of such human resource management and administration processes and systems, as described in Schedule 3 (Transformation) (the "Transformation").
(B) The Transformation will be implemented in staggered phases with overlapping timeframes as to each of the Service function groups or geographic areas specified in Schedule 3 (Transformation) (each group or area, a "Phased Service Component"). The Transformation of each Phased Service Component will be completed on or before the date set forth for such Phased Service Component in Schedule 3 (Transformation) (each, a "Transformation Date"). Xxxx will perform those responsibilities designated as Xxxx responsibilities in Schedule 3 (Transformation) in accordance with the Transformation Plan.
(C) Service Provider will perform the Transformation Services in accordance with Schedule 3 (Transformation) without causing a material disruption to Dana's business.
(D) Until the completion of the Transformation Services, each Party will update the other Party regarding the status of the Transformation Services as often as may be reasonably requested by such other Party, but in any event no less frequently than weekly.
Transformation Services. Supplier shall perform the services (the “Transformation Services” or “Transformation”), described in any Transformation plan set forth in the applicable Supplement (the “Transformation Plan”) and any services not specifically described in the Transformation Plan that are an inherent, necessary or customary part of such services or required for the proper performance of such Transformation Plan. CoreLogic will perform or cause to be performed those tasks which are designated in the Transformation Plan to be the responsibility of CoreLogic, Eligible Recipients or Third Party Contractors in the Transformation Plan including causing Third Party Contractors to fully cooperate with and work in good faith with Supplier. Supplier agrees that the responsibilities of CoreLogic, as set forth in this Section 4.8(a), are not intended as contractual duties or obligations of CoreLogic giving rise to a claim of breach by Supplier, but rather as conditions precedent to the extent applicable to the related duties and obligations of Supplier under this Agreement for purposes of Section 10.2.

Transformation Services. 2927 Transformation services (as defined in section 6.5 Transformation services) are chargeable as 2928 projects. Transformation Services. Provider acknowledges and agrees that the transformation of Customer’s systems and processes is required for Provider to (a) simultaneously maintain the quality and currency of the Services; (b) significantly and continuously reduce the costs of performing the Services; and (c) reduce the Charges (e.g., the “Unit Rates” set forth in Schedule E (Charges, Invoicing, and Payments)). Accordingly, Provider agrees that it will, at its cost and expense:
3.3.1 On an annual basis (including the last year of the Term as it may be renewed or extended), Provider shall prepare and provide to Customer for its review and approval a written plan: (a) describing the existing hardware, Software, tools and processes used to provide the Services, (b) evaluating such hardware, Software, and other resources with respect to the impact it has on the quality, currency and cost of Services and on the Charges, and (c) making detailed recommendations regarding, and providing a detailed plan for, the implementation of changes to such hardware, Software, tools and processes designed to improve the quality and currency of the Services, reduce the cost of producing such Services, and reduce the Charges (the “Annual Process and Systems Plan”).
3.3.2 The first Annual Process and Systems Plan shall be completed within ninety (90) days after the Effective Date, with subsequent Annual Process and System Plans completed on each anniversary thereof during the Term including any extensions and renewals. Prior to the Effective Date, Customer may have been using different systems that are not fully integrated to perform similar and related tasks, and as a consequence work may be duplicated in some cases. Accordingly, the first Annual Process and Systems Plan shall address, among other things, the activities that Provider proposes to take during the second
3.3.3 and subsequent years of the Term (including any renewals and extensions) to eliminate these inefficiencies.
3.3.4 During the first three months of the Initial Term, the Parties shall meet as reasonably required to agree on the transformation projects Provider is to take during 2011 and the timeline for executing such projects. Provider shall use Commercially Reasonable Efforts to promptly implement the agreed projects according to the agreed plan (such steps and activities, together with the preparation of the Annual Process and Systems Plans, the “Transformation Services”) and Customer shall provide all reasonably necessary assistance and ...

TxDOT shall perform those tasks that are designated to be TxDOT's responsibility in the Transformation Plan, but shall not be obligated to perform tasks or provide any resources beyond those set forth in such Transformation Plan. If TxDOT fails to perform such tasks or provide such resources, TxDOT shall reimburse Service Provider for its additional costs actually incurred and paid by Service Provider as a direct result of such failure, provided that Service Provider notifies TxDOT of such failure and provides TxDOT with a reasonable opportunity to cure, obtains TxDOT's approval prior to incurring such additional costs and in all events uses commercially reasonable efforts to minimize such additional costs. Unless otherwise agreed in writing, TxDOT shall not incur any charges, fees or expenses payable to Service Provider in connection with the Transformation Services, other than those charges, fees and expenses specified in Exhibit 4.
