Transition Services Obligations. (a) Seller and Purchaser acknowledge that prior to the Closing, the Business has been operated by Seller as an integrated division of a larger organization, and that the successful operation of the business in the ordinary course of its operations and the operation by Seller of the businesses retained by it and its Affiliates has depended, and will continue to depend, on the uninterrupted receipt by the Business and such retained businesses of rights, information, goods, and services (collectively “Services”) from: (i) those portions of Seller’s business that are not being acquired by Purchaser pursuant to this Agreement; and (ii) those portions of Seller’s business that are being acquired by Purchaser pursuant to this Agreement, respectively.
