Transitional Trademark Licence. Effective as of the assignment of each Trademark to Assignee pursuant to Clause 2.1 until the date that is six (6) months after the Completion Date (the “Trademark Licence Term”), Assignee hereby grants to Assignor and its Affiliates a non-exclusive, non-transferable, sublicensable (solely in accordance with Clause 3.2) and royalty-free licence to display, affix and use such Trademark in substantially the same manner as they were used by Assignor or any of its Affiliates during the twelve (12) months prior to the Completion Date.
Transitional Trademark Licence. The provisions of Schedule 27 shall apply to any use of the Seller Marks for a transitional period from Closing.
