Treasury Regulation Statement. On the Closing Date, CIMA shall deliver to Cephalon a properly executed statement in accordance with the requirements of Treasury Regulation Section 1.897-2(h) and in a form reasonably acceptable to Cephalon for purposes of satisfying Cephalon's obligations under Treasury Regulation Section 1.1445-2(c)(3).
