Treatment of Certain Information. The Borrower acknowledges that from time to time financial advisory, investment banking and other services may be offered or provided to the Borrower or one or more of its Subsidiaries (in connection with this Agreement or otherwise) by any Lender or by one or more subsidiaries or affiliates of such Lender and the Borrower hereby authorizes each Lender to share any information delivered to such Lender by the Borrower and its Subsidiaries pursuant to this Agreement, or in connection with the decision of such Lender to enter into this Agreement, to any such subsidiary or affiliate, it being understood that any such subsidiary or affiliate receiving such information shall be bound by the provisions of paragraph (b) of this Section as if it were a Lender hereunder. Such authorization shall survive the repayment of the Loans, the expiration or termination of the Letters of Credit and the Commitments or the termination of this Agreement or any provision hereof. Each Lender shall use all information delivered to such Lender by the Borrower and its Subsidiaries pursuant to this Agreement, or in connection with the decision of such Lender to enter into this Agreement, in connection with providing services to the Borrower. The Administrative Agent, each Lender and their Affiliates (collectively, solely for purposes of this paragraph, the “Lenders”), may have economic interests that conflict with those of the Borrower or any of its Subsidiaries, their stockholders and/or their affiliates. The Borrower, on behalf of itself and each of its Subsidiaries, agrees that nothing in the Loan Documents or otherwise will be deemed to create an advisory, fiduciary or agency relationship or fiduciary or other implied duty between any Lender, on the one hand, and the Borrower or any of its Subsidiaries, its stockholders or its affiliates, on the other. The Borrower and each of its Subsidiaries each acknowledge and agree that (i) the transactions contemplated by the Loan Documents (including the exercise of rights and remedies hereunder and thereunder) are arm’s-length commercial transactions between the Lenders, on the one hand, and the Borrower and its Subsidiaries, on the other, and (ii) in connection therewith and with the process leading thereto, (x) no Lender has assumed an advisory or fiduciary responsibility in favor of the Borrower or any of its Subsidiaries, any of their stockholders or affiliates with respect to the transactions contemplated hereby (or the exercise of rights or remedies with respect thereto) or the process leading thereto (irrespective of whether any Lender has advised, is currently advising or will advise the Borrower or any of its Subsidiaries, their stockholders or their affiliates on other matters) or any other obligation to the Borrower or any of its Subsidiaries except the obligations expressly set forth in the Loan Documents and (y) each Lender is acting solely as principal and not as the agent or fiduciary of the Borrower or any of its Subsidiaries, their management, stockholders, creditors or any other Person. The Borrower and each of its Subsidiaries each acknowledge and agree that it has consulted its own legal and financial advisors to the extent it deemed appropriate and that it is responsible for making its own independent judgment with respect to such transactions and the process leading thereto. The Borrower and each of its Subsidiaries each agree that it will not claim that any Lender has rendered advisory services of any nature or respect, or owes a fiduciary or similar duty to the Borrower or any of its Subsidiaries, in connection with such transaction or the process leading thereto.

Each Lender shall use all information delivered to such Lender by the Borrower and its Subsidiaries pursuant to this Agreement, or in connection with the decision of such Lender to enter into this Agreement, in connection with providing services to the Borrower. The Administrative Agent, each Lender and their Affiliates (collectively, solely for purposes of this paragraph, the “Lenders”), may have economic interests that conflict with those of the Borrower or any of its Subsidiaries, their stockholders and/or their affiliates. The Borrower, on behalf of itself and each of its Subsidiaries, agrees that nothing in the Loan Documents or otherwise will be deemed to create an advisory, fiduciary or agency relationship or fiduciary or other implied duty between any Lender, on the one hand, and the Borrower or any of its Subsidiaries, its stockholders or its affiliates, on the other. The Borrower and each of its Subsidiaries each acknowledge and agree that any such information (i) to the transactions contemplated extent required by the Loan Documents statute, rule, regulation or judicial process, (including the exercise ii) on a confidential basis, to counsel for any of rights and remedies hereunder and thereunder) are arm’s-length commercial transactions between the Lenders, on the one handLender Collateral Agent or the Administrative Agent, (iii) to bank examiners, internal and external auditors or accountants, and any analogous counterpart thereof acting in any such capacity, (iv) to the Borrower and its SubsidiariesAdministrative Agent, on the otherLender Collateral Agent or a Lender, and (iiv) in connection therewith and with any litigation to which any one or more of the process leading theretoLenders, the Lender Collateral Agent or the Administrative Agent is a party, (xvi) no to any assignee or participant (or prospective assignee or participant) so long as such assignee or participant (or prospective assignee or participant) agrees to keep such information confidential on substantially the same basis as set forth in this Section (which agreement may be in the form attached as EXHIBIT E to this Agreement), (vii) to affiliates of the Administrative Agent, the Lender has assumed an advisory Collateral Agent or fiduciary responsibility a Lender or (viii) in favor the case of a Conduit Lender, to its administrator or other person providing similar services to it. This confidentiality agreement shall not apply to (i) any information which was in the possession of the Lender, the Lender Collateral Agent or the Administrative Agent prior to the date of this agreement (other than any information previously given to the Lender, the Lender Collateral Agent or the Administrative Agent by the Borrower or any Contingent Obligor), (ii) any information which was, is or hereafter becomes part of its Subsidiariesthe public domain without any violation of this agreement on the part of the Lender, the Lender Collateral Agent or the Administrative Agent or any of their stockholders respective affiliates, directors, officers, employees or affiliates with respect to representatives, (iii) any information received by the transactions contemplated hereby (of the Lender, the Lender Collateral Agent or the exercise Administrative Agent from a source not known by it to be under any obligation of rights or remedies with respect thereto) or the process leading thereto (irrespective of whether any Lender has advised, is currently advising or will advise the Borrower or any of its Subsidiaries, their stockholders or their affiliates on other matters) or any other obligation confidentiality to the Borrower or any Contingent Obligor or (iv) any information which is independently created or developed by of its Subsidiaries except the obligations expressly set forth in Lender, the Loan Documents and (y) each Lender is acting solely as principal and not Collateral Agent or the Administrative Agent, as the agent case may be, from information or fiduciary of the Borrower or any of its Subsidiariesmaterial not otherwise, their management, stockholders, creditors or any other Person.
