Common use of Treatment of Collections and Deemed Collections Clause in Contracts

Treatment of Collections and Deemed Collections. Transferor shall forthwith deliver to Servicer all Deemed Collections, and Servicer shall hold or distribute such Deemed Collections as CP Costs, Earned Discount, accrued Servicer's Fee, repayment of Transferee's Total Investment, and to other accrued amounts owing hereunder to the same extent as if such Deemed Collections had actually been received on the date of such delivery to Servicer. If Collections are then being paid to the Administrator, on Transferee's behalf, or its designee, or lock-boxes or accounts directly or indirectly owned or controlled by the Administrator, Servicer shall forthwith cause such Deemed Collections to be paid to the Administrator, on Transferee's behalf, or its designee or to such lock-boxes or accounts, as applicable, or as the Administrator shall request. So long as Transferor shall hold any Collections (including Deemed Collections) required to be paid to Servicer or the Administrator, it shall segregate such Collections and hold such Collections in trust and shall clearly mark its records to reflect such trust.

Transferor Seller shall forthwith deliver deposit in the Collection Account, all Collections deemed received by Seller pursuant to Servicer all Deemed Collections, Section 3.04 and Servicer such Collections shall hold be held or distribute such Deemed Collections distributed as CP Costs, Earned Discount, accrued Servicer's Fee, repayment of TransfereePurchaser's Total Investment, and to other accrued amounts owing hereunder etc. to the same extent as if such Deemed Collections had actually been received on the date of such delivery deposit in the Collection Account. Parent hereby agrees to Servicer. If make such deposits of such Collections are then being paid in Seller's stead to the Administratorextent Seller does not make such deposits as and when required; provided that, on Transferee's behalf, or its designee, or lock-boxes or accounts directly or indirectly owned or controlled by Parent shall not be required to make such deposits in an aggregate amount in excess of $3,000,000 if the Administrator, Servicer shall forthwith cause such Deemed Collections pursuant to be paid to Section 3.04 are the Administrator, on Transferee's behalf, or its designee or to such lock-boxes or accounts, as applicable, or as the Administrator shall requestresult of insurance agent fraud. So long as Transferor Seller shall hold any Collections (including Deemed Collections) or deemed Collections required to be paid to Servicer Servicer, Purchaser, Relationship Bank, the Administrator or the AdministratorCollateral Agent, it shall segregate such Collections and hold such Collections in trust and shall clearly mark its records to reflect tx xxflect such trust.
