Common use of Treatment of Collections and Deemed Collections Clause in Contracts

Treatment of Collections and Deemed Collections. Seller shall forthwith deliver to Servicer all Collections deemed received by Seller pursuant to Section 3.02(a), and Servicer shall hold or distribute such Collections as Earned Discount, accrued Servicer's Fee, repayment of Purchaser's Total Investment, etc. to the same extent as if such Collections had actually been received on the date of such delivery to Servicer. If Collections are then being paid to the Collateral Agent, or lock boxes or accounts directly or indirectly owned or controlled by the Collateral Agent, Servicer shall forthwith cause such deemed Collections to be paid to the Collateral Agent or to such lock boxes or accounts, as applicable, or as the Collateral Agent shall request in writing. So long as Seller shall hold any Collections or deemed Collections required to be paid to Servicer, the Administrator or Collateral Agent, it shall hold such Collections in trust and shall clearly mark its records to reflect such trust; provided that unless xxx Administrator or the Relationship Bank shall request it to do so in writing, Seller shall not be required to hold such Collections in a separate deposit account containing only such Collections.

If Collections are then being paid to the Collateral AgentAdministrator, on Transferee's behalf, or lock its designee, or lock-boxes or accounts directly or indirectly owned or controlled by the Collateral AgentAdministrator, Servicer shall forthwith cause such deemed Deemed Collections to be paid to the Collateral Agent Administrator, on Transferee's behalf, or its designee or to such lock lock-boxes or accounts, as applicable, or as the Collateral Agent Administrator shall request in writingrequest.
