TREATMENT OF SHARE PLANS IN CONNECTION WITH THE ACQUISITION. 2.1 The parties agree that the outstanding Awards under the Share Plans shall be dealt with in accordance with the principles set out in the remainder of this Schedule 1. 2.2 The vesting and exercise of Awards under the Share Plans is governed by and shall occur in accordance with the rules of the relevant Share Plan and the other terms on which such Awards were granted, and accordingly are subject in certain respects to the exercise of discretions conferred on the Company Remuneration Committee by such rules and terms.
