Common use of Treatment of Shared Intellectual Property Clause in Contracts

Treatment of Shared Intellectual Property. (a) Notwithstanding anything in this Agreement to the contrary, the allocation of, and the rights and obligations in connection with, the Intellectual Property identified on Schedule 4.4(a) (“Shared Intellectual Property”) shall be governed by the terms of the Joint Intellectual Property Agreement. (b) Nothing in this Section 4.4 shall require any member of any Group to make any material payment (except to the extent advanced, assumed or agreed in advance to be reimbursed by any member of the other Group), incur any material obligation or grant any material concession for the benefit of any member of any other Group, except as set forth in the Joint Intellectual Property Agreement.
