Treatment of Unvested Time Options on Death or Disability. Upon a termination of Optionee’s employment with the Company and all Service Recipients at any time by reason of death or Disability, that 20% portion of the Time Option that would have become exercisable on the next anniversary date of the Closing Date following the date of such termination of employment if the Optionee had remained employed with the Company or the applicable Service Recipient through such date will become vested and exercisable.
