TRIBE OBLIGATIONS. To the best of its ability, within its authority, and dependent on appropriation of funds for such purposes, the TRIBE agrees to: a. Provide wildfire protection for all lands within the boundaries of the Bois Forte Reservation proper; b. Designate the Forestry Office as a cooperating Office for communications and coordination of wildfire activities; c. Promptly report all wildfires occurring on adjacent STATE protected lands to the Area Forestry Office, Orr, Minnesota and when requested by the STATE, take initial action on such wildfires until relieved by the STATE provided the wildfire is within reasonable distance of the Reservation boundary and such action will not leave trust lands unprotected; d. Assume control, as soon as practical, of that portion of any wildfire which xxxxx onto Reservation lands and be responsible for suppression of that portion of the wildfire. e. Provide a Resource Advisor when sensitive cultural areas are threatened or when requested by the BUREAU or STATE. The Resource Advisor will work directly with the Incident Commander to identify critical cultural areas and advise on suppression line construction location.

Promptly report all wildfires occurring on adjacent STATE protected lands to the Area Forestry Office, Cloquet, Minnesota; c. Cooperate, and when requested by the STATE, take initial action on such wildfires until relieved by the STATE provided the wildfire is within reasonable distance of the Reservation boundary and such action will not leave Indian lands unprotected; d. Assume control, as soon as practical, of that portion of any wildfire which xxxxx onto Reservation lands and be responsible for suppression of that portion of the wildfire. e. Provide a Resource Advisor when sensitive cultural areas are threatened or when requested by the BUREAU or STATE.   • The Obligations The security interest granted hereunder shall secure the payment of all indebtedness and the performance of all obligations of the Debtor to the Secured Party of every type and description, whether now existing or hereafter arising, fixed or contingent, as primary obligor or as guarantor or surety, acquired directly or by assignment or otherwise, liquidated or unliquidated, regardless of how they arise or by what agreement or instrument they may be evidenced, including without limitation all loans, advances and other extensions of credit and all covenants, agreements, and provisions contained in all loan and other agreements between the parties (the “Obligations”).

  • City Obligations a. To operate the Airport as a public airport during the Lease Term, subject to the assurances given by City to the United States Government. b. To make water, gas and wastewater service available to the Premises property on the same basis as it is made available to all business operating at the Airport. Lessee must promptly pay in full all utility usage charges for water, gas, wastewater, electricity and other utilities supplied to the Premises during the Lease Term as the charges become due and payable.

  • Guarantee Obligations Guarantee any obligations of any Person;

  • Affirmative Obligations Except (a) as expressly contemplated by this Agreement; (b) as set forth in Section 5.1 or Section 5.2 of the Company Disclosure Letter; (c) as contemplated by Section 5.2; or (d) as approved by Parent (which approval will not be unreasonably withheld, conditioned or delayed), at all times during the period commencing with the execution and delivery of this Agreement and continuing until the earlier to occur of the termination of this Agreement pursuant to Article VIII and the Effective Time, the Company will, and will cause each of its Subsidiaries to, (i) use its respective commercially reasonable efforts to maintain its existence in good standing pursuant to applicable law; (ii) subject to the restrictions and exceptions set forth in Section 5.2 or elsewhere in this Agreement, conduct its business and operations in the ordinary course of business; and (iii) use its respective commercially reasonable efforts to (a) preserve intact its material assets, properties, Contracts or other legally binding understandings, licenses and business organizations; (b) keep available the services of its current officers and key employees; and (c) preserve the current relationships with customers, vendors, distributors, partners (including platform partners, referral partners, consulting and implementation partners), lessors, licensors, licensees, creditors, contractors and other Persons with which the Company Group has business relations.
