Triggering Conduct. As used in this Agreement, “Triggering Conduct” shall mean Grantee’s material breach of any provision of Section 14.3 and 14.4 of the Employment Agreement or Grantee’s breach of any provision of Grantee’s Proprietary Agreement (as defined in the Employment Agreement).
