True and Complete Information. All information heretofore or hereafter furnished by or on behalf of the Seller in writing to any Lender, the Collateral Agent or the Administrative Agent in connection with this Agreement, the other Loan Documents, the Transferred Assets, or any transaction contemplated hereby is and will be (when taken as a whole) true, correct and complete in all material respects; provided that, to the extent any such information was furnished to the Seller by any third party or was not prepared by or under the direction of the Seller, such information is as of its delivery date true, correct and complete in all material respects to the knowledge of the Seller.
