Trust Company Incumbency Certificate. On the Initial Closing Date, the Agent, both Investors and the Lessee shall have received a certificate of the Trust Company, dated the Initial Closing Date, as to the incumbency and signature of the officers of the Trust Company executing any Operative Agreement, satisfactory in form and substance to the Agent, both Investors and the Lessee, executed by the President or any Vice President, Assistant Vice President, or a duly authorized Trust Officer and the Secretary or any Assistant Secretary of the Trust Company;
