Trust Constitution and Power. If such Stockholder is a trust: (a) such Stockholder will prior to Closing, deliver to Old Night a true and complete copy of such Stockholder's trust agreement or other constitution document as currently in effect, and (b) the execution, delivery and performance by such Stockholder of this Agreement, and the consummation by such Stockholder of the transaction contemplated hereby are within such Stockholder's powers and have been duly authorized by all necessary action of such Stockholder's trustees or other relevant parties.
