Common use of Trustee to Sign Amendments Clause in Contracts

Trustee to Sign Amendments. The Trustee shall sign any amendment authorized pursuant to this Article 9 if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.01) shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.

In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.017.1) shall be fully protected in relying upon, an Officers' ’ Certificate and an Opinion of Counsel stating to the effect that such amendment is authorized or permitted by this IndentureIndenture and complies with the provisions hereof and is legally valid and binding against the Company and the Subsidiary Guarantors.

If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive reasonable indemnity reasonably satisfactory to it and to shall receive, and (subject to Section 7.01) shall be fully protected in conclusively relying upon, in addition to the documents required by Section 12.04, an Officers' ’ Certificate and an Opinion of Counsel each stating that such amendment is authorized or permitted by this IndentureIndenture and is the legal, valid and binding obligation of the Company, enforceable in accordance with its terms.

If it does, the Trustee may but need not sign it. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receiveprovided with, and (subject to Section 7.0111.1) shall be fully protected in relying upon, an Officers' ’ Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.

The Trustee shall sign any amendment authorized pursuant to this Article 9 8 if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.01Sections 6.01 and 6.02) shall be fully protected in relying upon, an Officers' ’ Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this IndentureIndenture and that such amendment is the legal, valid and binding obligation of the Company and the Subsidiary Guarantor, if applicable, enforceable against them in accordance with its terms, subject to customary exceptions, and complies with the provisions hereof (including Section 8.03).

Trustee to Sign Amendments. The Trustee shall sign any amendment authorized pursuant to this Article 9 10 if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.018.01) shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this IndentureIndenture and that such amendment is the legal, valid and binding obligation of the Issuer enforceable against it in accordance with its terms, subject to customary exceptions, and complies with the provisions hereof (including Section 10.03).

Trustee to Sign Amendments. The Trustee shall sign any amendment authorized pursuant to this Article 9 10 if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.017.1) shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating that (i) such amendment is authorized or permitted by this IndentureIndenture and that all conditions precedent to the execution, delivery and performance of such amendment have been satisfied; and (ii) the Indenture together with such amendment complies with the TIA.

Trustee to Sign Amendments. The Trustee shall sign any amendment authorized pursuant to this Article 9 Nine if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.017.02) shall be fully protected in relying uponconclusively relying, and shall be entitled to conclusively rely, upon an Officers' Officer’s Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.

In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, in addition to the documents required by Section 1001 hereof and (subject to Section 7.01601 of the Base Indenture) shall be fully protected in relying upon, an Officers' ’ Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this IndentureIndenture and is a legal, valid and binding obligation of the Company.

Trustee to Sign Amendments. The Trustee shall sign any amendment authorized pursuant to this Article 9 if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receiveprovided with, and (subject to Section 7.01Sections 7.01 and 7.02) shall be fully protected in relying upon, in addition to the documents required by Section 13.04, an Officers' Officer’s Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this IndentureIndenture and constitutes the legal, valid and binding obligation of the Issuer enforceable against it in accordance with its terms (which Officer’s Certificate and Opinion of Counsel may contain customary exceptions and qualifications).

Trustee to Sign Amendments. The Trustee shall sign any amendment amendment, supplement or waiver authorized pursuant to this Article 9 IX if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment amendment, the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receiveshall be provided with, and (subject to Section 7.01) shall be fully protected in relying upon, (i) an Officers' ’ Certificate and (ii) an Opinion of Counsel stating that such amendment amendment, supplement or waiver is authorized or permitted by this Indenture.

In signing such amendment amendment, supplement or waiver the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.01) shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.

The Trustee shall sign any amendment authorized pursuant to this Article 9 if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.0111.1) shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.

The Trustee shall sign any amendment authorized pursuant to this Article 9 IX if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.01Sections 7.1 and 7.2) shall be fully protected in relying upon, an Officers' ’ Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this IndentureIndenture and that such amendment is the legal, valid and binding obligation of the Company and any Subsidiary Guarantors, enforceable against them in accordance with its terms, subject to customary exceptions and complies with the provisions hereof (including Section 9.3).

In signing sign­ing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.019.01) shall be fully protected in relying upon, an Officers' ’ Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this IndentureIndenture and that such amendment is the legal, valid and binding obligation of the Company and the Guarantors enforceable against them in accordance with its terms, subject to customary exceptions, and complies with the provisions hereof (including Section 13.03).

Trustee to Sign Amendments. The Trustee shall sign any amendment or supplement authorized pursuant to this Article 9 8 if the amendment or supplement does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.01) shall be fully protected in relying upon, an Officers' ’ Certificate and an Opinion of Counsel stating that the execution of such amendment is authorized or permitted by this Indenture.

Trustee to Sign Amendments. The Trustee shall sign any amendment authorized pursuant to this Article 9 if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receiveprovided with, and (subject to Section 7.01Sections 7.01 and 7.02) shall be fully protected in relying upon, in addition to the documents required by Section 14.04, an Officers' ’ Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.

The Trustee shall sign any amendment authorized pursuant to this Article 9 if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity or security reasonably satisfactory to it and to receive, and (subject to Section 7.01) shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.

The Trustee shall sign any amendment authorized pursuant to this Article 9 IX if the amendment does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, and (subject to Section 7.01) shall be fully protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating stating, in addition to the requirements of Section 12.04, that such amendment is authorized or permitted by this IndentureIndenture that such amendment is the legal, valid and binding obligation of the Issuers and the Company enforceable against them in accordance with its terms, subject to customary exceptions, and complies with the provisions hereof (including Section 9.03).

In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and to receive, the Trustee and (subject to Section 7.017.02) shall receive, and be fully protected in conclusively relying upon, an Officers' Officer’s Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture.
