Common use of Trustee to Sign Amendments Clause in Contracts

Trustee to Sign Amendments. The Trustee shall sign any amendment authorized pursuant to this Article 9 if the amendment does not affect the rights, duties, protections, privileges, indemnities, powers, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and shall be provided with, and (subject to Sections 7.01 and 7.02 hereof), shall be fully protected in conclusively relying upon an Officer’s Certificate and an Opinion of Counsel stating that such amendment is authorized or permitted by this Indenture, that it conforms to the applicable requirements of the Trust Indenture Act and that such amendment is the legal, valid and binding obligation of the Company and any Guarantors, enforceable against them in accordance with its terms, subject to customary exceptions and complies with the provisions hereof (including Section 9.03 hereof).

Notwithstanding the foregoing, no Opinion of Counsel shall be required to execute any amendment or supplement adding a new Guarantor under this Indenture.

In signing such amendment any amendment, supplement or waiver pursuant to this Article IX, the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and shall be provided withreceive, and (subject to Sections 7.01 Section 7.1 and 7.02 hereof), 7.2) shall be fully protected in conclusively relying upon upon, an Officer’s Officers’ Certificate and an Opinion of Counsel stating that the execution of such amendment amendment, supplement or waiver is authorized or permitted by this Indenture, that it conforms to the applicable requirements of the Trust Indenture Act and that such amendment amendment, supplement or waiver is the legal, valid and binding obligation of the Company and any Subsidiary Guarantors, enforceable against them in accordance with its terms, subject to customary exceptions exceptions, and complies with the provisions hereof (including Section 9.03 hereof9.3).

In signing such amendment the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and shall be provided withto receive, and (subject to Sections 7.01 and 7.02 hereof), Section 7.01) shall be fully protected in conclusively relying upon upon, an Officer’s Officers' Certificate and an Opinion of Counsel stating that (a) such amendment is authorized or permitted by this Indenture, (b) all conditions precedent to such amendment have been complied with, (c) in the case of amendment pursuant to Section 9.01 hereof that it conforms to such amendment will not adversely affect the applicable requirements rights of the Trust Indenture Act any Holders, and (d) that such amendment is the legal, valid and binding obligation of the Company and any Guarantors, the Subsidiary Guarantors enforceable against them in accordance with its terms, subject to customary exceptions exceptions, and complies with the provisions hereof (including Section 9.03 hereof).
