Common use of Trustee to Sign Amendments Clause in Contracts

Trustee to Sign Amendments. The Trustee shall sign any amendment, supplement or waiver authorized pursuant to this Article IX if the amendment, supplement or waiver does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it. In signing any amendment, supplement or waiver the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and shall be provided with, and (subject to Sections 7.1 and 7.2) shall be fully protected in relying upon, an Officers’ Certificate and an Opinion of Counsel stating that such amendment, supplement or waiver is authorized or permitted by this Indenture and that such amendment, supplement or waiver is the legal, valid and binding obligation of the Issuers and any Guarantors, enforceable against them in accordance with its terms, subject to customary exceptions, and complies with the provisions hereof (including Section 9.3).

If it does, the Trustee may may, but need not not, sign it. In signing any amendment, such amendment or supplement or waiver the Trustee shall be entitled to receive an indemnity reasonably or security satisfactory to it and shall be provided withto receive, and (subject to Sections 7.1 and 7.2Section 7.01) shall be fully protected in relying upon, an Officers’ Officer’s Certificate and an Opinion of Counsel stating that such amendmentamendment or supplement complies with this Indenture, supplement or waiver is authorized or permitted by this Indenture the other Notes Documents and that such amendmentamendment or supplement has been duly authorized, supplement or waiver executed and delivered and is the legal, legally valid and binding obligation of the Issuers and any Guarantors, the Guarantors enforceable against them in accordance with its terms, subject to customary exceptions, and complies with the provisions hereof (including Section 9.3).

In signing any amendment, supplement or waiver the Trustee shall be entitled to receive indemnity reasonably satisfactory to it and shall be provided withreceive, and (subject to Sections 7.1 and 7.2) shall be fully protected in relying upon, upon an Officers’ Officer’s Certificate and an Opinion of Counsel stating that such amendment, supplement or waiver is authorized or permitted by this Indenture and that such amendment, supplement or waiver is the legal, valid and binding obligation of the Issuers and any Subsidiary Guarantors, enforceable against them in accordance with its terms, subject to customary exceptions, and complies with the provisions hereof (including Section 9.3).

Trustee to Sign Amendments. The Trustee shall sign any amendment, supplement or waiver authorized pursuant to this Article IX if the amendment, supplement or waiver does not adversely affect the rights, duties, liabilities or immunities of the Trustee. If it does, the Trustee may but need not sign it.
