Common use of Trustee Warranties Clause in Contracts

Trustee Warranties. To the extent to which the Contractor is trustee of a trust, the Contractor warrants that: (a) it enters into this Agreement in its own capacity and in its capacity as trustee of the trust; (b) the trust has been duly constituted and any trust deed in relation to it is not void, voidable or otherwise unenforceable; (c) it has the capacity to be trustee of the trust and has power as trustee unconditionally to execute and deliver and comply with its obligations under this Agreement; (d) it has taken all necessary action required by the trust deed or otherwise to authorise the unconditional execution and delivery of and compliance with its obligations under this Agreement; (e) in executing and delivering this Agreement and entering into the transactions contemplated by it, it has properly complied with its obligations to the beneficiaries of the trust and the execution and delivery of this Agreement and the entry into the transactions contemplated by it are for the benefit of the beneficiaries of the trust and do not constitute a conflict of interest or duty or breach of trust; (f) it has a right to be indemnified out of all of the property of the trust in relation to all of the obligations of the trustee under this Agreement; (g) it has not released or disposed of its equitable lien over the property of the trust which secures that indemnity; (h) it has not agreed to limit or exclude and has not committed any breach of trust or done or omitted to do anything which has prejudiced or limited its right of indemnity or equitable lien; (i) the rights of the beneficiaries of the trust in relation to and their interest in the property of the trust are subject to and rank in priority behind: (i) the rights of VicForests in relation to and its interest in the property of the trust; and (ii) any right to or interest in the property of the trust to which VicForests may from time to time be subrogated; (j) it is the only trustee of the trust and no action has been taken to remove it as trustee of the trust or to appoint an additional trustee of the trust; (k) no action has been taken to terminate the trust; (l) it has not defaulted in compliance of its obligations of trustee of the trust; and (m) it has disclosed in writing to VicForests full particulars of the trust and any other trust or fiduciary relationship affecting the property of the trust.

(b) If the Trustee’s position in respect of the matters specified in clause 15.2(a) changes, the parties are subject to negotiate, in good faith and rank in priority behindwithout delay, any necessary changes to this document to secure the provision of the Public Benefits. To the extent to which the Contractor Buyer is trustee of a trust, the Contractor Buyer warrants that: (a) it enters into this Agreement in its own capacity and in its capacity as trustee of the trust; (b) the trust has been duly constituted and any trust deed in relation to it is not void, voidable or otherwise unenforceable; (c) it has the capacity to be trustee of the trust and has power as trustee unconditionally to execute and deliver and comply with its obligations under this Agreementdocument; (d) it has taken all necessary action required by the trust deed or otherwise to authorise the unconditional execution and delivery of and compliance with its obligations under this Agreementdocument; (e) in executing and delivering this Agreement and entering into the transactions contemplated by it, it has properly complied with its obligations to the beneficiaries of the trust and the execution and delivery of this Agreement document and the entry into the transactions contemplated by it are for the benefit of the beneficiaries of the trust and do not constitute a conflict of interest or duty or breach of trust; (f) it has a right to be indemnified out of all of the property of the trust in relation to all of the obligations of the trustee under this Agreement; (g) it has not released or disposed of its equitable lien over the property of the trust which secures that indemnity; (h) it has not agreed to limit or exclude and has not committed any breach of trust or done or omitted to do anything which has prejudiced or limited its right of indemnity or equitable lien; (i) the rights of the beneficiaries of the trust in relation to and their interest in the property of the trust are subject to and rank in priority behind: (iA) the rights of VicForests in relation to and its interest in the property of the trust; and (iiB) any right to or interest in the property of the trust to which VicForests may from time to time be subrogated; (j) it is the only trustee of the trust and no action has been taken to remove it as trustee of the trust or to appoint an additional trustee of the trust; (k) no action has been taken to terminate the trust; (l) it has not defaulted in compliance of its obligations of as trustee of the trust; and (m) it has disclosed in writing to VicForests full particulars of the trust and any other trust or fiduciary relationship affecting the property of the trust.
