Neither the Trustee nor any Conversion Agent has any duty to determine whether any provisions of a supplemental indenture under Section 10.16 are correct. Neither the Trustee nor any Conversion Agent makes any representation as to the validity or value of any securities or assets issued upon conversion of Securities.
