TRUSTEE'S CAPACITY. It is expressly understood and agreed by the parties hereto that insofar as this Confirmation is executed by the Trustee (i) this Confirmation is executed and delivered by LaSalle Bank National Association, not in its individual capacity but solely as Supplemental Interest Trust Trustee pursuant to the Pooling and Servicing Agreement in the exercise of the powers and authority conferred and vested in it thereunder and pursuant to instruction set forth therein, (ii) each of the representations, undertakings and agreements herein made on behalf of the trust is made and intended not as a personal representation, undertaking or agreement of the Supplemental Interest Trust Trustee but is made and intended for the purpose of binding only the Counterparty, (iii) nothing contained herein shall be construed as creating any liability of LaSalle Bank National Association, individually or personally, to perform any covenants either express or implied contained herein, all such liability, if any, being expressly waived by the parties hereto and by any person claiming by, through or under the parties hereto and (iv) under no circumstances will LaSalle Bank National Association, in its individual capacity be personally liable for the payment of any indebtedness or expenses or be personally liable for the breach or failure of any obligation, representation, warranty or covenant made or undertaken under this Confirmation. Nothing herein contained shall be construed as creating any liability on LaSalle Bank National Association, individually or personally, to perform any covenant either expressed or implied contained herein, all such liability, if any, being expressly waived by the parties who are signatories to this letter agreement and by any person claiming by, through or under such parties.

Nothing herein contained shall be construed as creating any liability on LaSalle U.S Bank National Association, individually or personally, to perform any covenant either expressed or implied contained herein, all such liability, if any, being expressly waived by the parties who are signatories to this letter agreement and by any person claiming by, through or under such parties. (q) TRUSTEE'S REPRESENTATION. U.S Bank National Association, as Trustee of the Supplemental Interest Trust, represents and warrants that: It has been directed under the Pooling and Servicing Agreement to enter into this letter agreement as Trustee on behalf of the Counterparty.

Nothing herein contained shall be construed Confirmation and (iv) the parties hereto acknowledge and agree that under the Pooling and Servicing Agreement and in connection with this Agreement, Citibank, N.A., as creating any liability on LaSalle Bank National AssociationPaying Agent under the Pooling and Servicing Agreement may act for the Counterparty hereunder, individually or personallyand BNY hereby acknowledges and agrees that it will, to perform any covenant either expressed or implied contained herein, all such liability, if any, being expressly waived unless otherwise directed by the parties who are signatories Trustee under the Pooling and Servicing Agreement, make all payments hereunder to, and otherwise deal directly with, the Paying Agent on behalf of the Counterparty. Any and all payments made by BNY to the Paying Agent pursuant to this letter agreement and by any person claiming by, through or provision shall discharge in full BNY’s obligation to make payments to the Counterparty under such partiesthe Agreement.

Nothing herein contained shall be construed Confirmation and (iv) the parties hereto acknowledge and agree that under the Pooling and Servicing Agreement and in connection with this Agreement, Citibank, N.A., as creating any liability on LaSalle Bank National AssociationPaying Agent under the Pooling and Servicing Agreement may act for the Counterparty hereunder, individually or personallyand BNY hereby acknowledges and agrees that it will, to perform any covenant either expressed or implied contained herein, all such liability, if any, being expressly waived unless otherwise directed by the parties who are signatories Trustee under the Pooling and Servicing Agreement, make all payments Ref No. 38357 hereunder to, and otherwise deal directly with, the Paying Agent on behalf of the Counterparty. Any and all payments made by BNY to the paying Agent pursuant to this letter agreement and by any person claiming by, through or provision shall discharge in full BNY’s obligation to make payments to the Counterparty under such partiesthe Agreement.
