Common use of Trustee's Certificate Clause in Contracts

Trustee's Certificate. On or as soon as practicable after each Record Date as of which Receivables shall be assigned to the Depositor or the Servicer pursuant to Section 10.14, the Trustee shall execute a Trustee's Certificate, based on the information contained in the Servicer's Certificate for the related Collection Period, amounts deposited to the Collection Account and notices received pursuant to this Agreement, identifying the Receivables repurchased by the Depositor pursuant to Section 3.02 or purchased by the Servicer pursuant to Section 4.07 or Section 11.02 during such Collection Period, and shall deliver such Trustee's Certificate, accompanied by a copy of the Servicer's Certificate for such Collection Period, to the Depositor or the Servicer, as applicable. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation or warranty, to the Depositor or the Servicer, as applicable, of all the Trustee's right, title and interest in and to any such Repurchased Receivable and to the other property conveyed to the Trust with respect thereto, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

Trustee's Certificate. On or as soon as practicable after each Record Date as of which Receivables shall be assigned to the Depositor Seller or the Servicer Servicer, as applicable, pursuant to Section 10.1420.03, the Trustee shall execute a Trustee's Certificate, based on the information contained in the Servicer's Certificate for the related Collection Period, amounts deposited to the Collection Certificate Account and notices received pursuant to this the Agreement, identifying the Receivables repurchased by the Depositor Seller pursuant to Section 3.02 12.02 or 21.02 or purchased by the Servicer pursuant to Section 4.07 13.07 or Section 11.02 21.02 during such Collection Period, and shall deliver such Trustee's Certificate, accompanied by a copy of the Servicer's Certificate for such Collection Period, Period to the Depositor Seller or the Servicer, as applicablethe case may be. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation or warranty, to the Depositor Seller or the Servicer, as applicablethe case may be, of all the Trustee's right, title and interest in and to any such Repurchased Receivable and to the other property conveyed to the Trust pursuant to Section 12.01 with respect theretoto such Repurchased Receivable, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

Trustee's Certificate. On Upon request of the Seller or Servicer, on or as soon as practicable after each Record Distribution Date as of on which Receivables shall be assigned to the Depositor Seller or the Servicer Servicer, as applicable, pursuant to Section 10.1411.03, the Trustee shall execute a Trustee's Certificate, Certificate based on (a) the information contained in the Servicer's Certificate for the related Collection Period, (b) amounts deposited to the Collection Certificate Account and (c) notices received pursuant to this Agreement, identifying the Receivables repurchased by the Depositor Seller pursuant to Section 3.02 or purchased by the Servicer pursuant to Section 4.07 Sections 4.06 or Section 11.02 12.02 during such Collection Period, and shall deliver such Trustee's Certificate, accompanied by a copy of the Servicer's Certificate for such Collection Period, to the Depositor Seller or the Servicer, as applicablethe case may be. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation or warranty, to the Depositor Seller or the Servicer, as applicablethe case may be, of all the Trustee's right, title and interest in (other than that the Trustee has good and marketable title to such Receivables on behalf of the Trust) and to any such Repurchased Receivable and to the other property conveyed to the Trust with respect theretorepurchased Receivable, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

Trustee's Certificate. On or as soon as practicable after each Record Distribution Date as of on which Receivables shall be assigned to the Depositor Asta Funding or the Servicer Servicer, as applicable, pursuant to Section 10.14this Agreement, the Trustee shall execute a Trustee's Certificate, based on notices received pursuant to this Agreement and the information contained in the Servicer's Certificate for the related Collection Period, amounts deposited to the Collection Account and notices received pursuant to this Agreement, identifying the Receivables repurchased purchased by the Depositor Asta Funding pursuant to Section 3.02 3.5 or purchased by the Servicer pursuant to Section 4.07 4.7 or Section 11.02 during such Collection Period11.2, the Trustee shall execute a Trustee's Certificate (in the form of Exhibit C-1 or Exhibit C-2 attached hereto, as applicable), and shall deliver such Trustee's Certificate, accompanied by a copy of the Servicer's Certificate for such Collection Period, Period to the Depositor Asta Funding or the Servicer, as applicablethe case may be. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation or warranty, to the Depositor Asta Funding or the Servicer, as applicablethe case may be, of all the Trustee's right, title and interest in and to any such Repurchased Receivable and to the other property conveyed to the Trust with respect theretorepurchased Receivable, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

Trustee's Certificate. On or as soon as practicable after each Record Distribution Date as of on which Receivables shall be assigned to the Depositor or the Servicer Seller pursuant to Section 10.143.02, the Trustee shall execute a Trustee's CertificateCertificate (in the form of Exhibit R), based on the information contained in the Servicer's Monthly Servicing Certificate for the related Collection Period, amounts deposited to the Collection Certificate Account and notices received pursuant to this Agreement, identifying the Receivables repurchased by the Depositor Seller pursuant to Section 3.02 or purchased by the Servicer pursuant to Section 4.07 or Section 11.02 during such Collection Period, and shall deliver such Trustee's Certificate, accompanied by a copy of the Servicer's Monthly Servicing Certificate for such Collection Period, Period to the Depositor or the Servicer, as applicableSeller. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation or warranty, to the Depositor or the Servicer, as applicableSeller, of all the Trustee's right, title and interest in and to any such Repurchased Receivable and to the other property conveyed to the Trust with respect theretorepurchased Receivable, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

Trustee's Certificate. On or as soon as practicable after each Record Distribution Date as of on which Receivables shall be assigned to the Depositor or the Servicer Servicer, as applicable, pursuant to Section 10.1419.3, the Trustee shall execute a Trustee's Certificate, based on the information contained in the Servicer's Certificate for the related Collection Period, amounts deposited to the Collection Certificate Account and notices received pursuant to this the Agreement, identifying the Receivables repurchased by the Depositor pursuant to Section 3.02 or 12.2, purchased by the Servicer pursuant to Section 4.07 13.7 or Section 11.02 20.2 during such Collection Period, and shall deliver such Trustee's Certificate, accompanied by a copy of the Servicer's Certificate for such Collection Period, Period to the Depositor or the Servicer, as applicablethe case may be. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation or warranty, to the Depositor or the Servicer, as applicablethe case may be, of all the Trustee's right, title and interest in and to any such Repurchased Receivable and to the other property conveyed to the Trust with respect theretorepurchased Receivable, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

Trustee's Certificate. On or as soon as practicable after each Record Distribution Date as of on which Receivables shall be assigned to the Depositor CPS or the Servicer Servicer, as applicable, pursuant to Section 10.14, the Trustee shall execute a Trustee's Certificatethis Agreement, based on amounts deposited to the Collection Account, notices received pursuant to this Agreement and the information contained in the Servicer's Certificate for the related Collection Period, amounts deposited to the Collection Account and notices received pursuant to this Agreement, identifying the Receivables repurchased purchased by the Depositor CPS pursuant to Section 3.02 2.6 or 2.8 or purchased by the Servicer pursuant to Section 4.07 3.7 or Section 11.02 during such Collection Period11.2, the Trustee shall execute a Trustee's Certificate (in the form of Exhibit C-1 or C-2, as applicable), and shall deliver such Trustee's Certificate, accompanied by a copy of the Servicer's Certificate for such Collection Period, Period to the Depositor CPS or the Servicer, as applicablethe case may be. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation representation, or warranty, to the Depositor CPS or the Servicer, as applicablethe case may be, of all the Trustee's right, title title, and interest in and to any such Repurchased Receivable and to the other property conveyed to the Trust with respect theretorepurchased Receivable, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

Trustee's Certificate. On or as soon as practicable after each Record Date as of date on which Receivables shall be assigned to the Depositor Seller or the Servicer pursuant to Section 10.14shall purchase Administrative Receivables or the Seller shall repurchase Warranty Receivables, the Trustee shall execute shall, at the written request of the Servicer, submit to the Servicer or the Seller, as applicable, a Trustee's Certificate, based on identifying the information contained in purchaser and the Servicer's Certificate for Receivables so purchased, executed by the related Collection Period, amounts deposited Trustee and completed as to its date and the Collection Account and notices received pursuant to this date of the Agreement, identifying the Receivables repurchased by the Depositor pursuant to Section 3.02 or purchased by the Servicer pursuant to Section 4.07 or Section 11.02 during such Collection Period, and shall deliver such Trustee's Certificate, accompanied by a copy of the Servicer's Certificate for such the related Collection Period, to the Depositor or the Servicer, as applicable. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation or warranty, to the Depositor Seller or the Servicer, as applicablethe case may be, of all the Trustee's right, title and interest in and to any such Repurchased Administrative Receivable or Warranty Receivable and to the other property conveyed to the Trust pursuant to Section 12.01 with respect theretoto such Administrative Receivable or Warranty Receivable, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

Trustee's Certificate. On or as soon as practicable after each Record Distribution Date as of on which Receivables shall be assigned to the Depositor or the Servicer Servicer, as applicable, pursuant to Section 10.1419.3, the Trustee shall execute a Trustee's Certificate, based on the information contained in the Servicer's Certificate for the related Collection Period, amounts deposited to the Marine Collection Account and RV Collection Account and notices received pursuant to this the Agreement, identifying the Receivables repurchased by the Depositor pursuant to Section 3.02 or 12.2, purchased by the Servicer pursuant to Section 4.07 Sections 13.7, 20.2 or Section 11.02 20.2A during such Collection Period, and shall deliver such Trustee's Certificate, accompanied by a copy of the Servicer's Certificate for such Collection Period, Period to the Depositor or the Servicer, as applicablethe case may be. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation or warranty, to the Depositor or the Servicer, as applicablethe case may be, of all the Trustee's right, title and interest in and to any such Repurchased Receivable and to the other property conveyed to the Trust with respect theretorepurchased Receivable, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

Trustee's Certificate. On or as soon as practicable after each Record Date as date on which the Seller or the Issuer acquires Removed Receivables, the Trustee, upon receipt of which Receivables written notice of such acquisition, shall be assigned submit to the Depositor Seller or the Servicer pursuant Issuer, as applicable, with a copy to Section 10.14each Noteholder, the Trustee shall execute a Trustee's Certificate, based on the information contained Certificate (substantially in the Servicer's Certificate for the related Collection Period, amounts deposited to the Collection Account and notices received pursuant to this Agreementform attached hereto as Exhibit B), identifying the acquirer and the Receivables repurchased so acquired, executed by the Depositor pursuant Trustee and completed as to Section 3.02 or purchased by its date and the Servicer pursuant to Section 4.07 or Section 11.02 during such Collection Perioddate of this Indenture, and shall deliver such Trustee's Certificate, accompanied by a copy of the Servicer's Certificate Monthly REMIC Servicer Report and the Payment Date Report for such the related Collection Period, to the Depositor or the Servicer, as applicable. The Trustee's Certificate submitted with respect to such Distribution Payment Date shall operate, as of such Distribution Payment Date, as an assignment, assignment without recourse, representation or warranty, to the Depositor Issuer or the ServicerSeller, as applicablethe case may be, of all the Trustee's right, title and interest in and to any such Repurchased Removed Receivable and to the other property conveyed to the Trust Estate pursuant to Section 2.01 with respect theretoto such Removed Receivable, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

Trustee's Certificate. On or as soon as practicable after each Record Date as of date on which Receivables shall be assigned to the Depositor Seller or the Servicer pursuant to Section 10.14shall purchase Administrative Receivables or the Seller shall repurchase Warranty Receivables, the Trustee shall execute shall, at the written request of the Servicer, submit to the Servicer or the Seller, as applicable, a Trustee's Certificate, based on identifying the information contained purchaser and the Receivables so purchased, as set forth in the related Servicer's Certificate for the related Collection Period, amounts deposited to the Collection Account and notices received pursuant to this Agreement, identifying the Receivables repurchased by the Depositor pursuant to Section 3.02 or purchased by the Servicer pursuant to Section 4.07 or Section 11.02 during such Collection Period, and shall deliver such Trustee's Certificate, executed by the Trustee and completed as to its date and the date of the Agreement, and accompanied by a copy of the Servicer's Certificate for such the related Collection Period, to the Depositor or the Servicer, as applicable. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation or warranty, to the Depositor Seller or the Servicer, as applicablethe case may be, of all the Trustee's right, title and interest in and to any such Repurchased Administrative Receivable or Warranty Receivable and to the other property conveyed to the Trust pursuant to Section 12.01 with respect theretoto such Administrative Receivable or Warranty Receivable, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

Trustee's Certificate. On or as soon as practicable after each Record Distribution Date as of on which Receivables shall be assigned to the Depositor Seller or the Servicer, as applicable, pursuant to this Agreement, based on amounts deposited to the Collection Account, notices received pursuant to this Agreement and the information contained in the Servicing Certificate for the related Collection Period, identifying the Receivables purchased by the Seller pursuant to Section 2.6 or 10.2 or purchased by the Servicer pursuant to Section 10.142.9, 3.7 or 10.2, the Trustee shall execute a Trustee's Certificate, based on the information contained Certificate (in the Servicer's Certificate for the related Collection Periodform of Exhibit E-1 or E-2, amounts deposited to the Collection Account and notices received pursuant to this Agreement, identifying the Receivables repurchased by the Depositor pursuant to Section 3.02 or purchased by the Servicer pursuant to Section 4.07 or Section 11.02 during such Collection Periodas applicable), and shall deliver such Trustee's Certificate, accompanied by a copy of the Servicer's Servicing Certificate for such Collection Period, Period to the Depositor Seller or the Servicer, as applicablethe case may be. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation representation, or warranty, to the Depositor Seller or the Servicer, as applicablethe case may be, of all the Trustee's right, title title, and interest in and to any such Repurchased Receivable and to the other property conveyed to the Trust with respect theretorepurchased Receivable, and all security and documents relating thereto, such assignment being an assignment outright and not for security. In addition, the Trustee shall execute and deliver additional documents and releases as necessary for the release of the Trustee's right, title and interest in and to such Repurchased Receivable.

Trustee's Certificate. On or as soon as practicable after each Record Distribution Date as of on which Receivables shall be assigned to the Depositor or the Servicer Servicer, as applicable, pursuant to Section 10.1415.3, the Trustee shall execute a Trustee's Certificate, based on the information contained in the Servicer's Certificate for the related Collection Period, amounts deposited to the Collection Certificate Account and notices received pursuant to this Agreement, identifying the Receivables repurchased by the Depositor pursuant to Section 3.02 or 12.2, purchased by the Servicer pursuant to Section 4.07 9.7 or Section 11.02 20.2 during such Collection Period, and shall deliver such Trustee's Certificate, accompanied by a copy of the Servicer's Certificate for such Collection Period, Period to the Depositor or the Servicer, as applicablethe case may be. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation or warranty, to the Depositor or the Servicer, as applicablethe case may be, of all the Trustee's right, title and interest in and to any such Repurchased Receivable and to the other property conveyed to the Trust with respect theretorepurchased Receivable, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

Trustee's Certificate. On or as soon as practicable after each Record Date as of which Receivables shall be assigned to the Depositor Seller or the Servicer pursuant to Section 10.1419.14, the Trustee shall execute a Trustee's CertificateCertificate (in the form of Exhibit E-1 or Exhibit E-2, as applicable), based on the information contained in the Servicer's Certificate for the related Collection Monthly Period, amounts deposited to the Collection Account and notices received pursuant to this the Agreement, identifying the Receivables repurchased by the Depositor Seller pursuant to Section 3.02 12.03 or purchased by the Servicer pursuant to Section 4.07 13.07 or Section 11.02 20.02 during such Collection Monthly Period, and shall deliver such Trustee's Certificate, accompanied by a copy of the Servicer's Certificate for such Collection Monthly Period, to the Depositor Seller or the Servicer, as applicable. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation or warranty, to the Depositor Seller or the Servicer, as applicable, of all the Trustee's right, title and interest in and to any such Repurchased Purchased Receivable and to the other property conveyed to the Trust with respect thereto, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

Trustee's Certificate. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation or warranty, to the Depositor or the Servicer, as applicable, of all the Trustee's right, title and interest in and to any such Repurchased Receivable and to the other property conveyed to the Trust with respect thereto, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

Trustee's Certificate. On or as soon as practicable after each Record Distribution Date as of on which Receivables shall be assigned to the Depositor CPS or the Servicer Servicer, as applicable, pursuant to Section 10.14, the Trustee shall execute a Trustee's Certificatethis Agreement, based on amounts deposited to the Collection Account, notices received pursuant to this Agreement and the information contained in the Servicer's Certificate for the related Collection Period, amounts deposited to the Collection Account and notices received pursuant to this Agreement, identifying the Receivables repurchased purchased by the Depositor CPS pursuant to Section 3.02 2.8 or purchased by the Servicer pursuant to Section 4.07 3.7 or Section 11.02 during such Collection Period11.2, the Trustee shall execute a Trustee's Certificate (in the form of Exhibit C-1 or C-2, as applicable), and shall deliver such Trustee's Certificate, accompanied by a copy of the Servicer's Certificate for such Collection Period, Period to the Depositor CPS or the Servicer, as applicablethe case may be. On or as soon as practicable after each Record Distribution Date as of on which Receivables shall be assigned to the Depositor LBAC or the Servicer Servicer, as applicable, pursuant to Section 10.14, the Trustee shall execute a Trustee's Certificatethis Agreement, based on amounts deposited to the Collection Account, notices received pursuant to this Agreement and the information contained in the Servicer's Certificate for the related Collection Period, amounts deposited to the Collection Account and notices received pursuant to this Agreement, identifying the Receivables repurchased purchased by the Depositor LBAC pursuant to Section 3.02 2.7 or purchased by the Servicer pursuant to Section 4.07 3.7 or Section 11.02 during such Collection Period10.2, the Trustee shall execute a Trustee's Certificate (in the form of Exhibit D-1 or D-2, as applicable), and shall deliver such Trustee's Certificate, 104 accompanied by a copy of the Servicer's Certificate for such Collection Period, Period to the Depositor LBAC or the Servicer, as applicablethe case may be. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation representation, or warranty, to the Depositor LBAC or the Servicer, as applicablethe case may be, of all the Trustee's right, title title, and interest in and to any such Repurchased Receivable and to the other property conveyed to the Trust with respect theretorepurchased Receivable, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

The Trustee's Certificate Such certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation or warranty, to the Depositor or the Servicer, as applicable, of all the Trustee's right, title and interest in and to any such Repurchased purchased Receivable and to the other property conveyed to the Trust with respect thereto, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

Trustee's Certificate. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation or warranty, to the Depositor Asta Funding or the Servicer, as applicablethe case may be, of all the Trustee's right, title and interest in and to any such Repurchased Receivable and to the other property conveyed to the Trust with respect theretorepurchased Receivable, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

Trustee's Certificate. On or as soon as practicable after each Record Date as of date on which the Servicer shall purchase Administrative Receivables shall be assigned to the Depositor or the Servicer pursuant to Section 10.14Seller shall repurchase Warranty Receivables, the Trustee shall execute shall, upon receipt of written notice of such purchase or repurchase, as the case may be, submit to the Servicer or the Seller, as applicable, a Trustee's Certificate, based on the information contained Certificate (substantially in the Servicer's Certificate for form attached hereto as Exhibit B), identifying the related Collection Periodpurchaser and the Receivables so purchased, amounts deposited executed by the Trustee and completed as to its date and the Collection Account and notices received pursuant to date of this Agreement, identifying the Receivables repurchased by the Depositor pursuant to Section 3.02 or purchased by the Servicer pursuant to Section 4.07 or Section 11.02 during such Collection Period, and shall deliver such Trustee's Certificate, accompanied by a copy of the Servicer's Certificate for such the related Collection Period, to the Depositor or the Servicer, as applicable. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation or warranty, to the Depositor Seller or the Servicer, as applicablethe case may be, of all the Trustee's right, title and interest in and to any such Repurchased Administrative Receivable or Warranty Receivable and to the other property conveyed to the Trust pursuant to Section 2.01 with respect theretoto such Administrative Receivable or Warranty Receivable, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

Trustee's Certificate. On or as soon as practicable after each Record Date as of date on which the Servicer shall purchase Administrative Receivables shall be assigned to the Depositor or the Servicer pursuant to Section 10.14Seller shall repurchase Warranty Receivables, the Trustee shall execute submit to the Servicer or the Seller, as applicable, a Trustee's Certificate, based on the information contained Certificate (substantially in the Servicer's Certificate for form attached hereto as Exhibit B), identifying the related Collection Periodpurchaser and the Receivables so purchased, amounts deposited executed by the Trustee and completed as to its date and the Collection Account and notices received pursuant to date of this Agreement, identifying the Receivables repurchased by the Depositor pursuant to Section 3.02 or purchased by the Servicer pursuant to Section 4.07 or Section 11.02 during such Collection Period, and shall deliver such Trustee's Certificate, accompanied by a copy of the Servicer's Certificate for such the related Collection Period, to the Depositor or the Servicer, as applicable. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation or warranty, to the Depositor Seller or the Servicer, as applicablethe case may be, of all the Trustee's right, title and interest in and to any such Repurchased Administrative 66 Receivable or Warranty Receivable and to the other property conveyed to the Trust pursuant to Section 2.01 with respect theretoto such Administrative Receivable or Warranty Receivable, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

Trustee's Certificate. On or as soon as practicable after each Record Date as of which Receivables shall be assigned to the Depositor or the Servicer pursuant to Section 10.14, the Trustee shall execute a Trustee's CertificateCertificate (in the form of Exhibit H-1 or Exhibit H-2, as applicable), based on the information contained in the Servicer's Certificate for the related Collection Period, amounts deposited to the Collection Account and notices received pursuant to this Agreement, identifying the Receivables repurchased by the Depositor pursuant to Section 3.02 or purchased by the Servicer pursuant to Section 4.07 or Section 11.02 during such Collection Period, and shall deliver such Trustee's Certificate, accompanied by a copy of the Servicer's Certificate for such Collection Period, to the Depositor or the Servicer, as applicable. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation or warranty, to the Depositor or the Servicer, as applicable, of all the Trustee's right, title and interest in and to any such Repurchased Receivable and to the other property conveyed to the Trust with respect thereto, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

Trustee's Certificate. On or as soon as practicable after each Record Distribution Date as of on which Receivables shall be assigned to the Depositor Seller or the Servicer, as applicable, pursuant to this Agreement, based on amounts deposited to the Collection Account, notices received pursuant to this Agreement and the information contained in the Servicing Certificate for the related Collection Period, identifying the Receivables purchased by the Seller pursuant to SECTION 2.6 or 10.2 or purchased by the Servicer pursuant to Section 10.14SECTION 2.9, 3.7 or 10.2, the Trustee shall execute a Trustee's Certificate, based on the information contained Certificate (in the Servicer's Certificate for the related Collection Periodform of EXHIBIT E-1 or E-2, amounts deposited to the Collection Account and notices received pursuant to this Agreement, identifying the Receivables repurchased by the Depositor pursuant to Section 3.02 or purchased by the Servicer pursuant to Section 4.07 or Section 11.02 during such Collection Periodas applicable), and shall deliver such Trustee's Certificate, accompanied by a copy of the Servicer's Servicing Certificate for such Collection Period, Period to the Depositor Seller or the Servicer, as applicablethe case may be. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation representation, or warranty, to the Depositor Seller or the Servicer, as applicablethe case may be, of all the Trustee's right, title title, and interest in and to any such Repurchased Receivable and to the other property conveyed to the Trust with respect theretorepurchased Receivable, and all security and documents relating thereto, such assignment being an assignment outright and not for security. In addition, the Trustee shall execute and deliver additional documents and releases as necessary for the release of the Trustee's right, title and interest in and to such Repurchased Receivable. SECTION 9.3.

Trustee's Certificate. On or as soon as practicable after each Record Distribution Date as of on which Receivables shall be assigned to the Depositor LBAC or the Servicer Servicer, as applicable, pursuant to Section 10.14, the Trustee shall execute a Trustee's Certificatethis Agreement, based on amounts deposited to the Collection Account, notices received pursuant to this Agreement and the information contained in the Servicer's Certificate for the related Collection Period, amounts deposited to the Collection Account and notices received pursuant to this Agreement, identifying the Receivables repurchased purchased by the Depositor LBAC pursuant to Section 3.02 2.7 or purchased by the Servicer pursuant to Section 4.07 3.7 or Section 11.02 during such Collection Period10.2, the Trustee shall execute a Trustee's Certificate (in the form of Exhibit D-1 or D-2, as applicable), and shall deliver such Trustee's Certificate, accompanied by a copy of the Servicer's Certificate for such Collection Period, Period to the Depositor LBAC or the Servicer, as applicablethe case may be. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation representation, or warranty, to the Depositor LBAC or the Servicer, as applicablethe case may be, of all the Trustee's right, title title, and interest in and to any such Repurchased Receivable and to the other property conveyed to the Trust with respect theretorepurchased Receivable, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

Trustee's Certificate. On or as soon as practicable after each Record Distribution Date as of on which Receivables shall be assigned to the Depositor Asta Funding or the Servicer Servicer, as applicable, pursuant to Section 10.14this Agreement, the Trustee shall execute a Trustee's Certificate, based on notices received pursuant to this Agreement and the information contained in the Servicer's Certificate for the related Collection Period, amounts deposited to the Collection Account and notices received pursuant to this Agreement, identifying the Receivables repurchased purchased by the Depositor Asta Funding pursuant to Section 3.02 3.5 or purchased by the Servicer pursuant to Section 4.07 4.7 or Section 11.02 during such Collection Period11.2, the Trustee shall execute a Trustee's Certificate (in the form of Exhibit D-1 or Exhibit D-2 attached hereto, as applicable), and shall deliver such Trustee's Certificate, accompanied by a copy of the Servicer's Certificate for such Collection Period, Period to the Depositor Asta Funding or the Servicer, as applicablethe case may be. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation or warranty, to the Depositor Asta Funding or the Servicer, as applicablethe case may be, of all the Trustee's right, title and interest in and to any such Repurchased Receivable and to the other property conveyed to the Trust with respect theretorepurchased Receivable, and all security and documents relating thereto, such assignment being an assignment outright and not for security.
