Common use of Trustee's Certificate Clause in Contracts

Trustee's Certificate. As soon as practicable after each Transfer Date on which Receivables shall be assigned to the Depositor pursuant to Section 2.3 or 11.2, as applicable, or to the Servicer pursuant to Section 3.7, the Trustee shall execute a certificate, prepared by the Servicer, substantially in the form of Exhibit E hereto, including its date and the date of the Agreement, and accompanied by a copy of the Servicer's Certificate for the related Collection Period. The Trustee's certificate shall operate, as of such Transfer Date, as an assignment pursuant to Section 10.4.
