Common use of Trustee's Certificate Clause in Contracts

Trustee's Certificate. Upon request of the Seller or Servicer, on or as soon as practicable after each Distribution Date on which Receivables shall be assigned to the Seller or the Servicer, as applicable, pursuant to Section 11.03, the Trustee shall execute a Trustee's Certificate based on (a) the information contained in the Servicer's Certificate for the related Collection Period, (b) amounts deposited to the Certificate Account and (c) notices received pursuant to this Agreement, identifying the Receivables repurchased by the Seller pursuant to Section 3.02 or purchased by the Servicer pursuant to Sections 4.06 or 12.02 during such Collection Period, and shall deliver such Trustee's Certificate, accompanied by a copy of the Servicer's Certificate for such Collection Period, to the Seller or the Servicer, as the case may be. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation or warranty, to the Seller or the Servicer, as the case may be, of all the Trustee's right, title and interest in (other than that the Trustee has good and marketable title to such Receivables on behalf of the Trust) and to such repurchased Receivable, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

Trustee's Certificate. Upon request of the Seller or Servicer, on On or as soon as practicable --------------------- after each Distribution Record Date on as of which Receivables Loans shall be assigned to the Seller or the Servicer, as applicable, Servicer pursuant to Section 11.0311.14, the Trustee shall execute a Trustee's ------------- Certificate based on (a) the information contained in the Servicer's Certificate for the related Collection Periodform of 84 Section 4.01 or Section 5.01(d), (b) amounts deposited to the Certificate Account and (c) notices received pursuant to this Agreement, identifying the Receivables repurchased by the Seller pursuant to Section 3.02 or purchased by the Servicer or Loans for ---- ------------ --------------- which Eligible Substitute Loans have been delivered by the Servicer pursuant to Sections 4.06 or 12.02 Section 15.01, during such Monthly Collection Period, and shall deliver such ------------- Trustee's Certificate, accompanied by a copy of the Servicer's Certificate for such Monthly Collection Period, to the Seller or the Servicer, as the case may beapplicable. The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation or warranty, to the Seller or the Servicer, as the case may beapplicable, of all the Trustee's right, title and interest in (other than that the Trustee has good and marketable title to such Receivables on behalf of the Trust) and to any such Loan repurchased Receivableby the Seller or purchased by the Servicer or any Loan for which an Eligible Substitute Loan has been delivered and to the other property conveyed to the Trust with respect thereto, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation or warranty, to the Seller or the Servicer, as the case may be, of all the Trustee's right, title and interest in (other than that the Trustee has good and marketable title to such Receivables on behalf of the Trust) and to such repurchased Receivable, and all security and documents relating thereto, such assignment being an assignment outright and not for security.

The Trustee's Certificate submitted with respect to such Distribution Date shall operate, as of such Distribution Date, as an assignment, without recourse, representation or warranty, to the Seller or the Servicer, as the case may beapplicable, of all the Trustee's right, title and interest in (other than that the Trustee has good and marketable title to such Receivables on behalf of the Trust) and to any such repurchased ReceivablePurchased Receivable and to the other property conveyed to the Trust with respect thereto, and all security and documents relating thereto, such assignment being an assignment outright and not for security.
