Common use of Trustee's Liens Clause in Contracts

Trustee's Liens. The Trustee in its individual capacity agrees that it will, in respect of each Trust created by this Agreement at its own cost and expense promptly take any action as may be necessary to duly discharge and satisfy in full any mortgage, pledge, lien, charge, encumbrance, security interest or claim ("Trustee's Liens") on or with respect to the Trust Property of such Trust which is attributable to the Trustee either (i) in its individual capacity and which is unrelated to the transactions contemplated by this Agreement, the related Note Purchase Agreements or the related Note Documents, or (ii) as Trustee hereunder or in its individual capacity and which arises out of acts or omissions which are not contemplated by this Agreement.

Trustee's Liens. The Trustee in its individual capacity agrees that it will, in respect of each Trust created by this Agreement Agreement, at its own cost and expense (and without right of indemnity hereunder, including Section 7.07), promptly take any action as may be necessary to duly discharge and satisfy in full any mortgage, pledge, lien, charge, encumbrance, security interest or claim ("“Trustee's ’s Liens"”) on or with respect to the Trust Property of such Trust which is attributable to the Trustee either (i) in its individual capacity and which is unrelated to the transactions contemplated by this Agreement, the related Note Purchase Agreements Agreement or the related Note Documents, Documents or (ii) as Trustee hereunder or in its individual capacity and which arises out of acts or omissions which are not contemplated by this Agreement.

The Trustee in its individual capacity agrees that it will, will in respect of each Trust created by this Agreement at its own cost and expense promptly take any action as may be necessary to duly discharge and satisfy in full any mortgage, pledge, lien, charge, encumbrance, security interest or claim ("Trustee's Liens") on or with respect to the Trust Property of such Trust which is attributable to the Trustee either (i) in its individual capacity and which is unrelated to the transactions contemplated by this Agreement, the related Note Purchase Refunding Agreements or the related Note Documents, or (ii) as Trustee hereunder or in its individual capacity and which arises out of acts or omissions by the Trustee which are not contemplated by in breach of this Agreement.

The Trustee in its individual capacity agrees that it willshall, in respect of each Trust created by this Agreement Agreement, at its own cost and expense promptly take any action as may be necessary to duly discharge and satisfy in full any mortgage, pledge, lien, charge, encumbrance, security interest or claim ("Trustee's Liens") on or with respect to the Trust Property of such Trust which is attributable to the Trustee either (i) in its individual capacity and which is unrelated to the transactions contemplated by this Agreement, any applicable Intercreditor Agreement, the related Note Purchase Agreements Agreement or the related Note Documents, or (ii) as Trustee hereunder or in its individual capacity and which arises out of acts or omissions which are not contemplated by this Agreement.

Trustee's Liens. The Trustee Trustee, in its individual capacity capacity, agrees that it will, in respect of each Trust created by this Agreement will at its own cost and expense promptly take any action as may be necessary to duly discharge and satisfy in full any mortgage, pledge, lien, charge, encumbrance, security interest or claim ("“Trustee's ’s Liens"”) on or with respect to the Trust Property of such any Trust which is either (i) attributable to the Trustee either (i) in its individual capacity and which is unrelated to the transactions contemplated by this Basic Agreement, any Trust Supplement, the related Note Purchase Agreements Participation Agreement or the related Note Documents, or (ii) attributable to the Trustee as Trustee trustee hereunder or in its individual capacity and which arises arise out of acts or omissions which are not contemplated prohibited by this AgreementBasic Agreement or any Trust Supplement.

The Trustee in its individual capacity agrees that it will, in respect of each Trust created by this Agreement Agreement, at its own cost and expense (and without right of indemnity hereunder, including Section 7.6), promptly take any action as may be necessary to duly discharge and satisfy in full any mortgage, pledge, lien, charge, encumbrance, security interest or claim ("Trustee's Liens") on or with respect to the Trust Property of such Trust which that is attributable to the Trustee either (i) in its individual capacity and which that is unrelated to the transactions contemplated by this Agreement, the related Note Purchase Agreements or the related Note Documents, or (ii) as Trustee hereunder or in its individual capacity and which that arises out of acts or omissions which that are not contemplated by this Agreement.
