Trustees May Act Without Meeting. The Trustees may act with or without a meeting. Any action of the Trustees may be taken at a meeting by vote or without a meeting by written consent or resolution signed by all of the Trustees, or all of the Trustees, as the case may be. Any such consent or resolution may be signed in counterpart.

Trustees May Act Without Meeting. The Trustees (or, when only the approval of a majority of all of the Independent Trustees is required, the Independent Trustees) may act with or without a meeting. Any action of the Trustees (or the Independent Trustees in the circumstances mentioned in the preceding sentence) may be taken at a meeting by vote or without a meeting by written consent or resolution signed by all of the Trustees, or all of the Independent Trustees, as the case may be. Any such consent or resolution may be signed in counterpart.

Any action the holding of the Trustees may be taken at a meeting by vote or without a meeting by written consent or resolution signed by of all of the Trustees, or in such manner as authorized (or ratified) by the Trustees. (b) In the place of a meeting where the Trustees are physically present in the same room, the Trustees may meet by telephone or through other means of communication where all of the TrusteesTrustees participating may concurrently hear or see, as the case may beand respond to, all communications addressed to those participating.
