Common use of TRUST'S ASSIGNMENT OF ADMINISTRATIVE RECEIVABLES AND WARRANTY RECEIVABLES Clause in Contracts

TRUST'S ASSIGNMENT OF ADMINISTRATIVE RECEIVABLES AND WARRANTY RECEIVABLES. With respect to all Administrative Receivables and all Warranty Receivables purchased by the Servicer, the Seller or AFL, the Owner Trustee shall take any and all actions reasonably requested by the Seller, AFL or Servicer, at the expense of the requesting party, to assign, without recourse, representation or warranty, to the Seller, AFL or the Servicer, as applicable, all the Trust's right, title and interest in and to such purchased Receivable, all monies due thereon, the security interests in the related Financed Vehicles, proceeds from any Insurance Policies, proceeds from recourse against Dealers on such Receivables and the interests of the Trust in certain rebates of premiums and other amounts relating to the Insurance Policies and any documents relating thereto, such assignment being an assignment outright and not for security; and the Seller, AFL or the Servicer, as applicable, shall thereupon own such Receivable, and all such security and documents, free of any further obligation to the Owner Trustee, the Trust, the Indenture Trustee, the Security Insurer, the Indenture Collateral Agent or the Noteholders with respect thereto.
