Common use of Truth and Accuracy of Representations Clause in Contracts

Truth and Accuracy of Representations. All of the representations and warranties of the Purchaser set forth in this Agreement will be true and correct as at the Closing Time in every material respect with the same force and effect as though made at the Closing Time, and a closing certificate of a senior officer of Purchaser dated the date of Closing Confidential to that effect will have been delivered to the Vendor such certificate to be in form and substance satisfactory to the Vendor acting reasonably.‌‌
