Common use of Truth of Warranties Clause in Contracts

Truth of Warranties. The representations and warranties made by Seller herein or in the attached Exhibits, or in any certificate or document delivered pursuant to the provisions hereof or thereof or in connection with the transactions contemplated hereby or thereby, shall be correct in all material respects, on and as of the Closing Date, with the same force and effect as though such representations and warranties had been made on the Closing Date.

Truth of Warranties.
