Common use of TSX Personal Information Form Clause in Contracts

TSX Personal Information Form. The Company shall not issue and the Buyer shall not purchase any Common Shares under this Agreement if such shares proposed to be issued and sold, when aggregated with all other Common Shares then owned beneficially by the Buyer and its affiliates would result in the beneficial ownership by the Buyer and its affiliates of more than 9.99% of the then issued and outstanding Common Shares unless and until a personal information form is filed and precleared by the TSX in accordance with its rules. Accordingly, this Agreement may not result in the Buyer or any of its affiliates becoming an insider of the Company (as such term is defined under the rules of the TSX) unless and until a personal information form is filed and precleared by the TSX in accordance with its rules
