Common use of Txxxxx Xxxx Clause in Contracts

Bxxxx Raysman & Sxxxxxx LLP, counsel for the Issuer, PE Renaissance and Potomac Edison, shall have furnished to the Representatives their written opinion, dated the Closing Date and in form and substance reasonably acceptable to the Representatives, addressing the matters set forth in Exhibit 10(w) and such other matters as the Representatives may reasonably request.
