Common use of UCC-1 Assignment and Other Documents Clause in Contracts

UCC-1 Assignment and Other Documents. (a) Seller shall use its reasonable best efforts to deliver to Purchaser at the Closing all UCC-1 financing statements and UCC-3 assignments of such financing statements, mortgage assignments and endorsed notes, and all other documentation necessary to effect the assignment of record of the Purchased Loans to Purchaser. The out-of-pocket costs and expenses of preparing and filing any such documentation shall be paid by Purchaser.

UCC-1 Assignment and Other Documents. (a) Seller shall use its reasonable best efforts to deliver to Purchaser at the Closing all UCC-1 financing statements and UCC-3 assignments of such financing statements, mortgage assignments and endorsed notes, and all other documentation necessary to effect the assignment of record of the Purchased Loans to Purchaser. The out-of-pocket costs and expenses of preparing and filing any such documentation shall be paid fifty percent (50%) by Purchasereach of Purchaser and Seller.

(a) Seller shall use its commercially reasonable best efforts to deliver to Purchaser Buyer at the Closing all signed UCC-1 financing statements and UCC-3 assignments of such financing statements, mortgage assignments and endorsed notes, participations and all other documentation necessary to effect the assignment of record the Assigned Loans, the Assigned Letters of Credit and the Purchased Loans Derivative Contracts to PurchaserBuyer. The out-of-pocket costs and expenses of preparing and filing any such documentation shall be paid by Purchaserin accordance with Section 17.1(b).
