The Agent shall have received satisfactory evidence of (i) the execution (if required by applicable law) and delivery by the Lessee and the Lessor to Agent of a UCC-1 financing statement to be filed with the Secretary of State of the applicable State (or other appropriate filing office) and the county where the Land is located, respectively, and such other Uniform Commercial Code financing statements as any Funding Party deems necessary or desirable in order to perfect such Funding Party’s or the Agent’s interests and (ii) the payment of all recording and filing fees and taxes with respect to any recordings or filings made of the Deed, the Memorandum of Lease, the Mortgage and the Assignment of Lease and Rents.
