Common use of UGSI's Ownership of Proprietary Rights Clause in Contracts

UGSI's Ownership of Proprietary Rights. Executive hereby assigns and agrees to assign to UGSI, its successors and assigns, Executive's entire right, title and interest in and to: (a) any worldwide patents, patent applications, copyrights, trade secrets and other intellectual property rights in any Innovations; and (b) any Moral Rights that Executive may have in or with respect to any Innovations. Executive also waives and agrees never to assert any Moral Rights Executive may have in or with respect to any Innovations, even after termination of Executive's employment with UGSI.
