Common use of UK Limited Clause in Contracts

UK Limited. Notwithstanding any other provision of this Agreement, no recourse under any obligation, covenant or agreement of Xxxxxxx contained in this Agreement shall be had against any shareholder, member, officer, director, employee or agent of Xxxxxxx, by the enforcement of any assessment or by any proceeding, by virtue of any statute or otherwise; it being expressly agreed and understood that this Agreement is a corporate obligation of Xxxxxxx, and that no personal liability shall attach to or be incurred by the shareholders, members, officers, directors, employees or agency of Gresham, as such, or any of them under or by reason of any of the obligations, covenants or agreements of Gresham contained in this Agreement or implied therefrom and that any and all personal liability for breaches by Xxxxxxx of any of such obligations, covenants or agreements, either at law or by statute or constitution of every such shareholder, member, officer, director, employee or agent is hereby expressly waived as a condition of an in consideration for the execution of this Agreement.
