Ultimate Disposition. If a Holder disposes of all of such Holder’s Shares in accordance with this Agreement, such Holder shall cease to be a party to this Agreement or be deemed to be a “Holder” for purposes hereof, and shall have no further rights or obligations hereunder other than liability for any breach of this Agreement occurring prior to the time such Holder ceases to be a party.
Ultimate Disposition. Any part of the Family Trust, including all income accrued and undistributed since the last payment period, which shall fail to pass under any of the above provisions of this Trust Agreement shall be distributed to those persons who would take Grantor's personal property under the Ohio Statutes of Descent and Distribution then in force and effect, as though Grantor had then died, unmarried, intestate, a resident of the State of Ohio and owner of the Family Trust.
