Common use of Unanimous Written Consent Clause in Contracts

Unanimous Written Consent. The Board may act without a meeting if, prior or subsequent to such action, a consent or consents in writing, setting forth the action so taken, and signed by all of the Managers is filed with the Company along with the minutes of the proceedings of the Board.
