Common use of Unavailability of Funds Clause in Contracts

Unavailability of Funds. In the event the School District, in its sole discretion, does not or cannot obtain or continue the funding for this Contract from any source or sources at an aggregate level sufficient to allow for payment for the Services required under this Contract, the School District may, in its sole discretion, exercise one of the following alternatives: (a) Terminate this Contract effective upon a date specified in a Termination Notice pursuant to Section 14, Termination; or (b) Continue this Contract by reducing, through written notice to the Architectural Designer, the scope of the Services required under this Contract and the amount of the Compensation, consistent with the nature, amount, and circumstances of the loss of funding; or (c) Suspend the Services until such time as sufficient funds are available; provided, that in the event of such suspension, but only upon the availability of sufficient funds, the Architectural Designer shall resume the Services within thirty (30) calendar days following the School District’s written notice to resume.
