Common use of Unavailability of Tenor of Term SOFR Clause in Contracts

Unavailability of Tenor of Term SOFR. Notwithstanding anything to the contrary herein or in any other Transaction Document, at any time and with respect to any Pricing Period, if the Benchmark at such time is Term SOFR and Term SOFR for the applicable tenor is not displayed on a screen or other information service that publishes such rate from time to time as selected by the Repo Agent in its reasonable discretion, the Repo Agent may (i) modify the definition of “Pricing Period” for all determinations of interest at or after such time to remove such unavailable tenor and (ii) if Term SOFR, as applicable, for the applicable tenor is displayed on such screen or information service after its removal pursuant to clause (i) above, modify the definition of “Pricing Period” for all determinations of interest at or after such time to reinstate such previously removed tenor.

Notwithstanding anything to the contrary herein or in any other Transaction DocumentPrincipal Agreement, at any time and with respect to any Pricing Collection Period, if the Benchmark Applicable Pricing Rate at such time is Term SOFR and Term SOFR for the applicable tenor is not displayed on a screen or other information service that publishes such rate from time to time as selected by the Repo Agent Buyer in its reasonable discretion, the Repo Agent Buyer may (i) modify the definition of “Pricing Collection Period” for all determinations of interest price differential at or after such time to remove such unavailable tenor and (ii) if Term SOFR, as applicable, for the applicable tenor is displayed on such screen or information service after its removal pursuant to clause (i) above, modify the definition of “Pricing Collection Period” for all determinations of interest at or after such time to reinstate such previously removed tenor.

Notwithstanding anything to the contrary herein or in any other Transaction Credit Document, at any time and with respect to any Pricing Interest Period, if the Benchmark at such time is Term SOFR and Term SOFR for the applicable tenor is not displayed on a screen or other information service that publishes such rate from time to time as selected by the Repo Administrative Agent in its reasonable discretion, the Repo Administrative Agent may (i) modify the definition of “Pricing Interest Period” for all determinations of interest at or after such time to remove such unavailable tenor and (ii) if Term SOFR, as applicable, for the applicable tenor is displayed on such screen or information service after its removal pursuant to clause (i) above, modify the definition of “Pricing Interest Period” for all determinations of interest at or after such time to reinstate such previously removed tenor.
