Common use of Uncertificated Securities and Certain Other Investment Property Clause in Contracts

Uncertificated Securities and Certain Other Investment Property. Debtor will permit Secured Party from time to time to cause the appropriate issuers (and, if held with a securities intermediary, such securities intermediary) of uncertificated securities or other types of Investment Property not represented by certificates which are Collateral to mxxx their books and records with the numbers and face amounts of all such uncertificated securities or other types of Investment Property not represented by certificates and all rollovers and replacements therefor to reflect the Lien of Secured Party granted pursuant to this Security Agreement. Debtor will take any actions necessary to cause (a) the issuers of uncertificated securities which are Collateral and which are Securities and (b) any financial intermediary which is the holder of any Investment Property, to cause Secured Party to have and retain Control over such Securities or other Investment Property. Without limiting the foregoing, Debtor will, with respect to Investment Property held with a financial intermediary, cause such financial intermediary to enter into a control agreement with Secured Party in form and substance satisfactory to Secured Party.

Without limiting the foregoing, Debtor will, with respect to Investment Property held with a financial intermediary, cause such financial intermediary to enter into a control agreement with Secured Party in form and substance satisfactory to Secured Party.

Debtor will permit Secured Party Collateral Agent from time to time to cause the appropriate issuers (and, if held with a securities intermediary, such securities intermediary) of uncertificated securities or other types of Investment Property investment property not represented by certificates which are Collateral to mxxx xxxx their books and records with the numbers and face amounts of all such uncertificated securities or other types of Investment Property investment property not represented by certificates and all rollovers and replacements therefor to reflect the Lien lien of Secured Party Collateral Agent granted pursuant to this Security Agreement. Debtor will take any actions necessary to cause (ai) the issuers of uncertificated securities which are Collateral and which are Securities securities and (bii) any financial intermediary which is the holder of any Investment investment Property, to cause Secured Party Collateral Agent to have and retain Control control over such Securities securities or other Investment Propertyinvestment property. Without limiting the foregoing, Debtor will, with respect to Investment Property investment property held with a financial intermediary, cause such financial intermediary to enter into a control agreement with Secured Party Collateral Agent in form and substance satisfactory to Secured PartyCollateral Agent.

Without limiting the foregoing, each Debtor will, with respect to Investment Property held with a financial intermediary, take commercially reasonable efforts to cause such financial intermediary to enter into a control agreement with the Secured Party in form and substance satisfactory to Secured Party.
