Common use of Under Payment Clause in Contracts

Under Payment. If the Purchase Price, as finally determined pursuant to Section 2.6, is greater than the Estimated Purchase Price (such difference, represented by a positive number, being the “Under Payment”), then, within [**] following such final determination: (a) the Purchaser shall make payment by wire transfer to the account specified by the Paying Agent in immediately available funds of an amount equal to the Under Payment, which amount shall be distributed by the Paying Agent to the Vendors in accordance with their Designated Percentage; and (b) the Purchaser and the Vendors’ Delegate shall give written instructions to the Escrow Agent to release the Adjustment Holdback to the Paying Agent for distribution to the Vendors in accordance with the Paying Agent Agreement and their Designated Percentage.
