Understanding of Investor. Investor understands the meaning and legal consequences of its agreements, representations, and warranties contained in this Agreement. Subject to Sections 2.6, 2.8 and 2.9, Investor agrees to indemnify, defend and hold harmless IPHC from and against any and all claims due to or arising out of a breach of any of the agreements, representations, or warranties of Investor contained herein.
