Common use of Understandings Clause in Contracts

Understandings. Executive acknowledges and agrees that (a) the Company informed him, as part of the offer of employment and prior to his accepting employment with the Company, that a confidentiality, non-competition, and non-solicitation agreement would be required as part of the terms and conditions of his employment; (b) he has carefully considered the restrictions contained in this Agreement; (c) the restrictions in this Agreement are reasonable and will not unduly restrict him in securing other employment in the event of termination.

Understandings. Executive acknowledges and agrees that (a) the Company informed him, as part of the offer of employment and prior to his accepting employment with the Company, that a confidentiality, non-competition, and non-solicitation inducement agreement would be required as part of the terms and conditions of his employment; (b) he has carefully considered the restrictions contained in this Agreement; (c) the restrictions in this Agreement are reasonable and will not unduly restrict him in securing other employment in the event of termination.

Understandings. Executive acknowledges and agrees that that: (a) the Company informed him, as part of the offer of employment and prior to his accepting employment with the Company, that a confidentiality, non-competition, non-solicitation, non-hire, and non-solicitation interference agreement would be required as part of the terms and conditions of his employment; (b) he has carefully considered the restrictions contained in this Agreement; and (c) the restrictions in this Agreement are reasonable and will not unduly restrict him in securing other employment in the event of termination.

Understandings. Executive acknowledges and agrees that (a) the Company informed himExecutive, as part of the offer of employment and prior to his Executive’s accepting employment with the Company, that a confidentiality, non-competition, and non-solicitation agreement would be required as part of the terms and conditions of his Executive’s employment; (b) he Executive has carefully considered the restrictions contained in this Agreement; (c) the restrictions in this Agreement are reasonable and will not unduly restrict him Executive in securing other employment in the event of termination.

Understandings. The Executive acknowledges and agrees that (ai) the Company informed him, him as part of the offer of continued employment and prior to his accepting employment with under the Company, terms of this Agreement that a confidentiality, non-competition, and non-solicitation agreement the Restrictive Covenants would be required as part of the terms and conditions of his such employment; (bii) he has carefully considered the restrictions contained in this AgreementAgreement and determined that they are reasonable, and has sought the advice of legal counsel if so inclined; (ciii) the restrictions in this Agreement are reasonable and will not unduly restrict him the Executive in securing other suitable employment in the event of terminationtermination from the Company; and (iv) he signed this Agreement as a condition to his continued employment with the Company under this Agreement.
