Common use of UNDERWRITERS’ INFORMATION Clause in Contracts

UNDERWRITERS’ INFORMATION. The Depositor and the Underwriters acknowledge and agree that the only information relating to any Underwriter that has been furnished to the Depositor in writing by any Underwriter through the Representative expressly for use in the Registration Statement and the Prospectus (or any amendment or supplement thereto) and the Time of Sale Information consists of the following: (i) (A) the second-to-last paragraph and the first sentence of the last paragraph of the cover page and (B) the third-to-last paragraph and the first sentence of the second-to-last and last paragraph under the heading “METHOD OF DISTRIBUTION (UNDERWRITER)” in the Preliminary Prospectus and (ii) (A) the second-to-last paragraph and the first sentence of the last paragraph of the cover page and (B) the third-to-last paragraph and the first sentence of the second-to-last and last paragraph under the heading “METHOD OF DISTRIBUTION (UNDERWRITER)” in the Prospectus.
