Common use of UNDERWRITERS’ INFORMATION Clause in Contracts

UNDERWRITERS’ INFORMATION. The parties hereto acknowledge and agree that, for all purposes of this Agreement, the Underwriter’s Information consists solely of the following information in the General Disclosure Package, the Prospectus and in the Registration Statement: the concession figure appearing in the first paragraph under the section entitled “Underwriting – Discounts and Expenses” and the information contained in the second and fourth paragraphs relating to stabilization transactions under the section entitled “Underwriting – Price Stabilization; Short Positions.”

UNDERWRITERS’ INFORMATION. The parties hereto acknowledge and agree that, for all purposes of this Agreement, the Underwriter’s Information consists solely of the following information in the General Disclosure Packageany Issuer Free Writing Prospectus identified in Schedule II hereto, the Prospectus and in the Registration Statement: the concession figure appearing in the first paragraph under the section entitled “Underwriting – Discounts and Expenses” and the information contained in the second and fourth paragraphs relating to stabilization transactions under the section entitled “Underwriting – Price Stabilization; , Short Positions.”

UNDERWRITERS’ INFORMATION. The parties hereto acknowledge and agree that, for all purposes of this Agreement, the Underwriter’s Information information provided by or on behalf of the Underwriter consists solely of the following information material included in the General Disclosure Package, following paragraphs of the Prospectus and “Underwriting” section in the Registration StatementProspectuses: the concession figure appearing in (i) the first paragraph under the section entitled “Underwriting – Discounts and Expenses—Commissions” and (ii) the information contained in third, fourth and fifth paragraphs under “—Covenants”, only insofar as such statements relate to selling concession and stabilization activities that may be undertaken by the second and fourth paragraphs relating to stabilization transactions under the section entitled “Underwriting – Price Stabilization; Short PositionsUnderwriter.”

UNDERWRITERS’ INFORMATION. The parties hereto acknowledge and agree that, for all purposes of this Agreement, the Underwriter’s Information consists solely of the following information in the General Disclosure PackageProspectus: (i) the sixth paragraph of the cover page regarding delivery of the Shares, (ii) the Prospectus and in the Registration Statement: the concession figure appearing in the first fifth paragraph under the section entitled heading “Underwriting – Discounts Underwriting” regarding certain terms of the offering of the Shares and Expenses” (iii) the fifteenth and the information contained in the second seventeenth paragraphs related to stabilizing transactions and fourth paragraphs relating to stabilization transactions passive market making under the section entitled heading “Underwriting – Price Stabilization; Short PositionsUnderwriting”.”
