Neither HBI nor any of its Subsidiaries has engaged in any unfair, deceptive or abusive acts or practices, as such terms are defined under §1031 of the Xxxx-Xxxxx Xxxx Street Reform and Consumer Protection Act (the “Xxxx-Xxxxx Act”). There are no allegations, claims or disputes to which HBI or any of its Subsidiaries is a party that allege, or to the Knowledge of HBI, no Person has threatened to allege, that HBI or any of its Subsidiaries has engaged in any unfair, deceptive or abusive acts or practices.
