Unilateral Modification. If the Oregon Legislative Assembly, Legislative Emergency Board or Oregon Department of Administrative Services increases or decreases the amount of money appropriated or allotted for implementation of the Services under this Agreement, OYA may, by written notice to County, unilaterally increase or decrease the amount of the funding in this Agreement, in proportion to the increase or decrease in the appropriation or allotment, provided that OYA increases or decreases, in the same proportion, the funds awarded to all other counties under similar agreements. In such a circumstance, if requested by either party, the parties shall execute an amendment to this Agreement reflecting an increase or decrease in the funding implemented under this Section. Nothing in this Section shall limit or restrict OYA’s rights under this Agreement to suspend payment of funds or to terminate this Agreement (or portion thereof as provided in Section 9 of this Exhibit B) as a result of a reduction in appropriations or allotments. This Section 11 is not applicable to any funding change that requires a different or new service to be provided. In response to a funding change pursuant to this Section 11 of the Agreement, County shall submit a new Service Plan to OYA for approval in a format and timeline prescribed by OYA. Such Service Plan shall be effective no sooner than the effective date of the funding change.
Unilateral Modification. The SAA does not agree to any provisions giving the Contractor the right to unilaterally change the license terms, with or without notice to the customer. Unilateral changes to the underlying License Agreement, as modified by this Addendum, are impermissible and any clause authorizing such changes is unenforceable. For revisions that will materially change the terms of the License Agreement, as modified by this Addendum, the revised agreement must be incorporated into the underlying contract using a bilateral modification. A material change is defined as (1) terms that change SAA rights or obligations; (2) terms that increase SAA prices; (3) terms that decrease the overall level of service; or (4) terms that limit any other SAA right addressed elsewhere in the License Agreement, as modified by this Addendum.
Unilateral Modification. In addition, the Corporation shall have the right at any time to increase (but not decrease) the Base Salary, all as shall be determined by the independent members of the Board of Directors of the Corporation in the exercise of their sole discretion.
Unilateral Modification. Notwithstanding subsection 8.1.1 above, the Authority may unilaterally modify this Grant Agreement at will in order to accommodate any change in any applicable federal, state or local laws, regulations, rules, guidance, orders, or policies. A copy of such unilateral modification will be given to the Subrecipient as an amendment to this Grant Agreement.
Unilateral Modification. Notwithstanding paragraph (a) above, the Commission may unilaterally modify this Agreement in order to reflect or accommodate any change in the Act or any change in the interpretation of the Act or any applicable federal, state or local laws, regulations, rules or policies. A copy of such unilateral modification will be given to the Grantee as an amendment to this Agreement.
Unilateral Modification. Notwithstanding paragraph (a) above, Volunteer Iowa may unilaterally modify this Agreement at will in order to accommodate any change in the Act or any change in the interpretation of the Act or any applicable federal, state or local laws, regulations, rules or policies. A copy of such unilateral modification will be given to the Grantee as an amendment to this Agreement. Volunteer Iowa will give the Grantee reasonable prior notice of any proposed unilateral modification of this agreement.
Unilateral Modification. ESKA may unilaterally modify the Instalment Schedule, once or repeatedly, in case of occurrence of a partial prepayment (whether voluntary or mandatory) of the Loan.
Unilateral Modification. Notwithstanding paragraph "a" above, the Authority may unilaterally modify the Contract at will in order to accommodate any change in the Act or any change in the interpretation of the Act or any applicable Federal, State or local laws, regulations, rules or policies. A copy of such unilateral modification will be given to the Recipient as an amendment to this Contract.
Unilateral Modification. This Contract may be unilaterally modified at any time by GSJTA as required by changes in Federal or State laws, regulations, or rules. CONTRACTOR must either accept the unilateral modification or may elect to give 30 day notice of Contract termination.
Unilateral Modification. Any provisions in the Agreement allowing for Cofense’s unilateral modification are deleted in their entirety.
