Unit Placement Agreement. Agreement made this 19th day of December, 2000 by and among the Congress of Connecticut Community Colleges (“Congress”) and the Federation of Technical College Teachers, AFT, Local 1942, AFL-CIO (“Federation”) (collectively “the Union”) and the Board of Trustees of Community-Technical Colleges (“the Board” or “the employer”). Unit Placement Agreement. The Initial Stockholders and the Company have entered to a Unit Placement Agreement, substantially in the form of Exhibit 10.11 to the Registration Statement, pursuant to which the Initial Stockholders agreed to purchase 333,334 Units at a price of $6.00 per unit ($2,000,004 in the aggregate) (the “Unit Placement Agreement”). The Units issued and sold pursuant to the Unit Placement Agreement are identical in all respects to the Units offered in the Offering. The issuance and sale of the Units pursuant to the Unit Placement Agreement are exempt from registration pursuant to Section 4(2) of the Act.
