United States Alien except as otherwise provided in or pursuant to this Indenture, means any person who, for United States Federal income tax purposes, is a foreign corporation, a non-resident alien individual, a non- resident fiduciary of a foreign estate or trust, or a foreign partnership. United States Alien. 12 INDENTURE (the "Indenture") dated as of _______________, 2001 between INDYMAC BANCORP, INC., a Delaware corporation (hereinafter called the "Company"), having its principal place of business at 155 North Lake Avenue, Pasadena, California 91101, and The Bank of New Xxxx, xxx xx xxx xxxxxxxxxx xxxxxxxx xxx xxxxxx as trustee under this Indenture, a New York banking corporation (hereinafter called the "Trustee"), having its Corporate Trust Office at 101 Barclay Street, New York, New York 10286. XXXXXXXX XX THE COMPANY The Company has duly authorized the execution and delivery of this Indenture to provide for the issuance from time to time of its unsecured junior subordinated debentures, notes, bonds and other evidences of indebtedness (herein called the "Debt Securities"), including Debt Securities issued to evidence loans made to the Company of the proceeds from the issuance from time to time by one or more business trusts (each an "Issuer Trust") of undivided preferred beneficial interests in the assets of such Issuer Trusts (the "Trust Preferred Securities") and undivided common beneficial interests in the assets of such Issuer Trusts (the "Common Trust Securities" and, together with the Trust Preferred Securities, the "Trust Securities"). All things necessary have been done to make this Indenture a valid agreement of the Company, in accordance with its terms.
