Common use of United States Export Controls Clause in Contracts

United States Export Controls. You acknowledge that all Benefits are subject to the export control laws and regulations of the United States (“U.S.”) and You will abide by those laws and regulations. Under U.S. export control laws and regulations, those Benefits may not be downloaded, accessed, received or otherwise exported, re-exported, or transferred to restricted countries, to restricted end users or for restricted end uses. You represent, warrant and covenant that neither You nor Your Personnel nor Your Named Users (a) are located in, or a resident or a national of, a restricted country; (b) are on any of the U.S. government lists of restricted end users; and (c) will, unless otherwise authorized under U.S. export control regulations, not use any Benefits in any restricted end use, including, without limitation, design, analysis, simulation, estimation, testing, or other activities related to nuclear, chemical/biological weapons, rocket systems or unmanned air vehicles applications. You understand that the requirements and restrictions of U.S. law as applicable to You may vary depending on the Benefits received and may change over time, and that, to determine the precise controls applicable to the Benefits, it is necessary to refer to the U.S. Export Administration Regulations and the U.S. Department of Treasury, Office of Foreign Assets Control Regulations.
