Common use of Unpermitted Transfers Clause in Contracts

Unpermitted Transfers. Any Transfer or attempted Transfer of any of the Subject Shares or other action in violation of Section 3.1 shall, to the fullest extent permitted by Law, be null and void ab initio. Notwithstanding the foregoing or any other provision in this Agreement to the contrary, Shareholder shall not be deemed to be in breach of any of its obligation hereunder with which it is unable to comply as a result of any Subject Shares subject to any Permitted Lien becoming subject to foreclosure, forfeiture or other similar proceedings.
